involving your Company and covering the installation of grade crossing traffic
control devices estimated at $49,100.00.
The enclosed documents have been approved by the Department and you may
consider this notice as your authorization to proceed with the work under the
direction of our District Engineer. Please extend advance notification of
work by Rai I road forces to our District Uti I ity Engineer.
The work under th is contract sha II be performed in accordance wi th the
provisions of the Federal Highway Administration's Federal-Aid Program Manual
Volume I, Chapter 4, Section 3, and/or Volume 6, Chapter 6, Section 2, as re-
quired. Should additional information or meeting with Department representatives
be neededi please let us know.

WHEREAS, the work contemplated hereunder is subject to the provisions of the Federal Highway
Administration :Fcderal Aid Highway Program ~Ianual, Y olumc 1, Chapter 4, Section 3 (.F.HPM 1-4-3),
as amended, and Federal Aid Highway Program \lallual, Volume G, Chapter 6, Section 2, Subsection 1
(FHPl\1 6-6-2-1), .as amended, and DEPART:'IIEi\'T'S Rule 14-46.02, Florida Administrative Code, as
amended.
NOW, THEREFORE, in consideration of the mutual undertakings as herein set forth, the
parties hereto agree as follows:
A. The CO:'\lPA?\Y shall:
1. In.stall by its own forces, with supervision and approval of the DEPARTMENT, at an
estimated eost of $49,100.00 , itemization of which is attached hereto,

location, in aceclrdance wi th (J) the attached detailed ~tahl11eJlt of the work, plans and specifications;
(2) the DE.PAHTI\IENT'S Plans and Standards Indn :\ulIlbcr 17H82, and (3) FllPM 1-4-3 and FHPlv]

2. Provide protecti\re serVices in accordance with U. S. Department of Transportation
Manual of Uniform Traffic Control Devices during the performance of the work, as indicated in the
atfachedplans ahd specifications, the cost of which is illCluded in the attached eost estimate.
3. Render the DEPART.MENT a final bill, in accordance with applicable Federalor State
regulations, within one hundred eighty (180) days from the completion date of the project, for all
actual reimbursable identified- charges including credits for salvage or betterments, if any, attributable
to the project; and itemize all substantial charges In a form comparable to the charges contained in the
cost estimate.
4. Operate and maintain said devices and perform any adjustment, relocation or
, replacement of saId devices; the cost therefor shall be assumed or ap:?ortioned in accordance with
Paragraph C. below.
B, The DEPARTIVIENT shall:
1. Promptly reimburse the COMPANY for all actual costs attributable to the project,
pursuant to Paragraph A.1., as billed by the COMPANY, pursuant to: Paragraph A.3.
2. Retain ten per cent from any progress payment.
C. The PAR TIES agree:
1. That the cost for the operation and maintenance of the devices by the COMPANY shall
be shared as follows::
(a) Fifty percent (50%) shall be bomeby the qTY and fifty rercent (50%)
shall be borne by thc COMPANY, in accordance with the attached Schedule of Annual Cost' of
Automatic Highway Grade Crossing Traffic Control Dcvices, subject to fwture revision.
2. The cost of any adjustment, relocation or replaccmentof said deviccs shall be assumed
by the party initiating such action, unless otherwise provided for in tlils contract, existing contracts
between the parties, or in existing contracts between one of t~e parties and a third party.
3. Each party docs hereby indemnify and hold harmless each other from aU liability,
claims and judgments (including attorney's [ceo:) arising out of work undertaken by any such party
pur~uant to tlus agreement, due to the negligent acts or omissions of their contractors, subcontractors,
employees, agents or representatives, respectively, except as otherwii'..~ covered by bonds or insurance.
This provision is a reciprocal covenant and in the event any portion hercof is found by a court of
competent jurisdiction to he IUwnforccablc, then this entire Article C.3. shall thereafter be uncliforce-
able in all respect.

A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF CLEAR WATER, FLORIDA, REQUESTING THE
FLORIDA DEPAR TMENT OF TRANSPOR TATION TO
INSTALL RAILROAD CROSSING FLASHERS AND/OR
GATES AT SEMINOLE STREET, FAlRMONT STREET,.
WOODLAWN AVENUE, PARK STREET, LAURA STREET,
FRANKLIN STREET AND GRAND CENTRAL STREET
AND AUTHORIZING THE CITY TO PAYS ITS ANNUAL
SHARE OF MAINTENANCE COST. .
WHEREAS, the Florida DepartInent of Transportation is coordinating
a program throughout the State of Florida, utilizing Federal funds, to
eliminate hazardous railroad crossing locations through the installation of
crossing flashers and/or gates; and
WHEREAS, seven (7) locations exist in the City of Clearwater,
Florida, which are eligible for such program; and
WHEREAS, such crossing sites can be found at Seminole Street,
Fairmont Street, Woodlawn Avenue, Park Street, Laura Street, Franklin
Street and Grand Central Street; and
WHEREAS, the City of Clearwater, Florida, wishes to participate in
such program and as a part of such participation is willing to pay one-half
(1/2) the annual operating and maintenance cost at each crossing not to
exceed $615.00 per year per crossing location;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY
COMMISSION OF THE CITY OF CLEARWATER, FLORIDA,
IN SESSION DULY AND REGULARLY ASSEMBLED, AS
FOLLOWS:
1. That the City Conunission of the City of Clearwater, Florida,
hereby requests the Florida Department of Transportation to include the
following crossing locations found in Clearwater, Florida, in its program of
installing crossing flashers and/or gates at hazardous railroad crossing
loc.ations: Seminole Street, Fairmont Street, Woodlawn Avenue, Park
Street, Laura Street, Franklin Street and Grand Central Street.
2. That the City of Clearwater, Florida, is willing to pay one-half
(1/2) the annual operating and maintenance costs at each crossing location
with such costs not to exceed $615.00 per year per crossing location.
