We are enclosing one (I) fully executed agreement dated October 7, 1981
involving your Company and covering the installation of grade crossing traffic
control devices estimated at $66,200.00.
The enclosed documents have been approved by the Department and you may
consider this notice as your authorization to proceed with the work under the
direction of our District Engineer. Please extend advance notification of
work by Rai I road forces to our District Uti I ity Engineer.
The work under this contract shal I be performed in accordance with the
provisions of the Federal Highway Administration's Federal-Aid Program Manual
Volume I, Chapter 4, Section 3, and/or Volume 6, Chapter 6, Section 2, as re-
quired. Should additional information or meeting with Department representatives
be needed; please let us know.

Administration Federal Aid Highway Program Manual, Volume 1, Chapter 4, Section 3 (YHPMl-<j,-3),
as amended, and Federal Aid Highway Program ManuaL Volume 6, Chapter 6, Section 2, Subsection 1
(FHPM 6-6-2-1), as amended, and DEPARTl\lENT'S Rule 14-46.02, Florida Administrative Code, as
amended.

2. Provide protective serviees In accordance ",-jth U.S. DeEartment of Transportation
Manual of Uniform Traffic Control Devices during the performance of the work, as indicated in the
attached plans and specifications, the cost of which is included in the attached cost estimate.
3. Render the DEPARTl\lENT a final bill, in accordance with applicable Federal or State
regulations, within one hundred eighty (180) days from the completion date of the project, for all
actual reimbursable identified charges including credits for salvage or betterments, if any, attributable
to the project; and itemize all substantial charges in a form comparable to the charges contained in the
cost'estimate.
4. Operate and maintain said devices and perform any adjustment, relocation or
replacement of said devices; the cost therefor shall be assumed or apportioned in accordance with
Paragraph C. below.
B, The DEPARTMENT shall:
1. Promptly reimburse the COMPANY for all actual costs attributable to the project,
pursuant to Paragraph A.I., as billed by the CO l\IP ANY, pursuant to Paragraph A.3.
2. Retain,ten per cent from any progress payment.
C. The PARTIES agree:
1. That the cost for the operation and maintenance of the devices by the COMPANY shall
be shared as follows::
(a) Fifty percent (50%) shall be borne by the CITY and fifty Ecrcent (50%)
shall be borne by the COMPANY, in accordance with the attached Schedule of Annual Cost of
Automatic Highway Grade Crossing Traffic Control Devices, subject to future revision.
2. The cost of any adjustment, relocation or replacement of said devices shall be assumed
by the party initiating such action, unless otherwise provided for in this contract, existing contracts
between the parties, or in existing contracts between one of the parties and a third party.
3. Each party does hereby indemnify and hold harmless each other from all liahility,
claims and judgments (including attorney's fees) arising out of work undertaken by any such party
pursuant to this agreement, due to the negligent acts or omissions of their contractors, subcontractors,
employees, agents or representatives, respectively, except as otherwise covered by bonds or insurance.
This provision is a reciprocal covenant and in the event any portion hereof is found by a court of
competent jurisdiction to be unenforceable, then this entire Article C.3. shall thereafter be unenforce-
able in all respect.

A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF CLEAR WA TER, FLORIDA, REQUESTING THE
FLORIDA DEPAR TMENT OF TRANSPOR TATION TO
INSTALL RAILROAD CROSSING FLASHERS AND/OR
GATES AT SElvUNOLE STREET, FAIRMONT STREET,.
WOODLAWN AVENUE, PARK STREET, LAURA STREET,
FRANKLIN STREET AND GRAND CENTRAL STREET
AND AUTHORIZING THE CITY TO PAYS ITS ANNUAL
SHARE OF MAINTENANCE COST.
WHEREAS, the Florida DepartInent of Transportation is coordinating
a program throughout the State of Florida, utilizing Federal funds, to
eliIninate hazardous railroad crossing locations through the installation of
crossing flashers and/or gates; and
WHEREAS, seven (7) locations exist in the City of Clearwater,
Florida, which are eligible for suchprograrn; and
WHEREAS, such crossing sites can be found at Seminole Street,
Fairmont Street, Woodlawn Avenue, Park Street, Laura Street, Franklin
Street and Grand Central Street; and
WHEREAS, the City of Clearwater, Florida, wishes to participate in
such program and as a part of such participation is willing to pay one-half
(1/2) the annual operating and maintenance cost at each crossing not to
exceed $615.00 per year per crossing location;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY
COMMISSION OF THE CITY OF CLEAR WATER, FLORIDA,
IN SESSION DULY AND REGULARLY ASSEMBLED, AS
FOLLOWS:
1. That the City Commission of the City of Clearwater, Florida,
hereby requests the Florida DepartInent of Transportation to include the
following crossing locations found in Clearwater, Florida, in its program oi
ins tailing cros sing flashers and/ or gates at hazardous railroad cros sing
loc,ations: Seminole Street, Fairmont Street, Woodlawn Avenue, Park
Street, Laura Street, Franklin Street and Grand Central Street.
2. That the City of Clearwater, Florida, is willing to pay one-half
(1/2) the annual operating and maintenance costs at each crossing location
with such costs not to exceed $615.00 per year per cros sing location.

3. That the Mayor-Commissioner, City Manager, City Clerk and
City Attorney be authorized to enter into such agreement with the Florida
Department of Transportation as will coordinate the program and cost items
described herein.
4. That this Resolution shall take effect immediately upon its
