~ This Agreement Termination Certificate ("Certificate") is made this 5 day of

of the State of Florida (the "Agency"), whose address is 112 S. Osceola Avenue, Clearwater,
Florida, 33756, and THE BALK COMPANY, INC., a Florida corporation, whose address is 290
Cocoanut Avenue, Building 1, Suite 2, Sarasota, Florida, 34236, as assigned to
MEDITERRANEAN VILLAGE L.L.C., a Florida limited liability company, whose address is
290 Cocoanut Avenue, Building 1, Suite 2, Sarasota, Florida, 34236, and BRUCE N. BALK, 610
Longview Drive, Longboat Key, Florida (the "Developers").
This Certificate pertains to an Agreement for Development and Disposition of Property
(Mediterranean Village in the Park) and related Memorandum of Development Agreement
(Mediterranean Village in the Park), by and between the Agency and the Developers, dated as of
March 8, 2002 (collectively the "Development Agreement"), which "provides, among other
things, for the sale of property within a project site as described in Exhibit "A" attached hereto
and made a part hereof for the development and construction of Mediterranean Village in the
Park Project, as same is defined in the Development Agreement.
The Development Agreement has terminated in accordance with its own terms as
provided in Section 13.01(a)(1) thereof as of February 26,2007, and is no longer of any force or
effect except for those provisions which expressly survive termination. This Certificate has been
executed by the parties to the Development Agreement as provided in Section 13.06 thereof and
constitutes a conclusive determination that the Development Agreement has been terminated, the
rights, duties and obligations of the parties hereto have been terminated and released (subject to
those surviving provisions) and the Mediterranean Village in the Park property, as described
above, is no longer subject to any restrictions, limitations or encumbrances imposed by the
Development Agreement.
A copy of the fully executed Development Agreement is on file with the City Clerk, City
of Clearwater, Florida, located at City Hall, 112 S. Osceola Avenue, Clearwater, Florida, 33756,
which is available for review and copying by the public.
