involving your Company and covering the installation of grade crossing traffic
control devices estimated at $49,100.00.
The enclosed documents have been approved by i-he Department and you may
consider this notice as your authorization to proceed wii-h the work under the
direction of our District Engineer. Please extend advance notification of
work by Rai I road forces to our District Uti I ity Engineer.
The work under th is contract sha II be performed in accordance Vii th the
provisions of the Federal Highway Administration's Federal-Aid Program Manual
Volume I, Chapter 4, Section 3, and/or Volume 6, Chapter 6, Section 2, as re-
quired. Should additional information or meeting with Department representatives
be neededi please let us know.

WHEREAS, the DEPARTMENT is constmcting, reconstmcting or otherwise changing a portion
of the State Highway System, designated by the DEPARTMENT as Job No. 1 SfiOO-fig, fi

WHE.REAS, the work contemplated hereunder is subject to the prmisions of the Federal Highway
Administration }<'ederal Aid Highway Program Manual, Volume 1, Chapter 4, Section 3 (.F.HPM 1-4-3),
as amended, and Federal Aid Highway Program Manual, Volume G, Chapter 6, Section 2, Subsection 1
(FHPM 6-6-2-1), as amended, and DEPARTMENT'S Rule 14,46.02, Florida Administrative Code, as
amended.
NOW, THEREFORE, in consideration of the mutual undertakings as herein set forth, the
parties hereto agree as follows:
A. The CO:\IPAJ'\Y shall:
1. lm;tall by its own forces, with supervision and approval of the DEPARTIVlENT, at an
estimated {:ost of ___ $49,100.00 , itemization of which is attached hereto,

location, in accllrdance with (1) the attached detailed ~tatLll1erlt of the work, plans and specifications;

2. Provide protecti~'e serVIces in accordance with U. S. Department. of Transportation
Manual of Uniform Traffic Control Devices during the performance of the work, as indicated in the
attached plans ahd specifications, the cost of which is illcluded in the attached cost estimate.
3. Render the DEPARTl\1ENT a final bill, in accordance with applicable Federalor State
regulations, within one hundred eighty (180) days from the completion date of the project, for all
actual reimbursable identified- charges including credits for salvage or betterments, iiany, attributable
to the project; and itemize all substantial charges in a form comparable to the charges contained in the
cost. estimate.
4. Operate and maintain said devices and perform any adjustment, relocation or
replacement of saId devices; the cost therefor shall be assumed or ap:;?ortioned in accordance with
Paragraph C. below.
B, The DEPART~mNT shall:
1. Promptly reimburse the COMPANY for aU actual costs attributable to the project,
pursuant to Paragraph A.I., as billed by the COMPANY, pursuant to, J>aragraph A.3.
2. Retain ten per cent from any progress payment.
C. The PARTIES agree:
1. That the cost for the operation and maintenance of the de;rices by the COMPANY shall
be shared as follows::
(a) Fifty percent (50%) shall be borne by the qTY and fifty percent (50%)
shall be borne by the CO~IPANY, in accordance with the attached Schedule of Annual Cost' of
Automatic Highway Grade Crossing Traffic Control Devices, subject to future revision.
2. The cost of any adjustment, relocation or replacement of saiilocvices shall be assumed
by the party initiating such action, unless otherwise provided for ill tillS contract, existing contracts
between the parties, or in existing contracts between one of the parties and a third party.
3. Each party does hereby indemnify and hold harmless each other from all liability,
claims and judgments (including attomey'E fee::) arising out of wad;: undertaken by any su.:;h party
pursuant to this agreement, due to the negligent acts or omissions of their contractors, subcontractors,
employees, agents or representatives, respectively, except as otherwiH~ (,(Ncred by bonds or insurancc.
This provision is a reciprocal covenant and in the evcnt :lny portion hercof is found by a court of
competcnt jurisdiction to be ul1t~nforceable, then this cntire Article C.3. shaH thereafter be unerd'orce-
ahle in all respeet.

A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF CLEAR WATER, FLORIDA, REQUESTING THE
FLORIDA DEPARTMENT OF TRANSPORTATION TO
INSTALL RAILROAD CROSSING FLASHERS AND/OR
GATES AT SEMINOLE STREET, FAlRMONT STREET,.
WOODLAWN AVENUE, PARK STREET, LAURA STREET,
FRANKLIN STREET AND GRAND CENTRAL STREET
AND AUTHORIZING THE CITY TO PAYS ITS ANNUAL
SHARE OF MAINTENANCE COST. .
WHEREAS, the Florida DepartInent of Transportation is coordinating
a program throughout the State of Florida, utilizing Federal funds, to
eliminate hazardous railroad crossing locations through the installation of
crossing flashers and/or gates; and
WHEREAS, seven (7) locations exist in the City of Clearwater,
Florida, which are eligible for such_ program; and
WHEREAS, such crossing sites can be found at Seminole Street,
Fairmont Street, Woodlawn Avenue, Park Street, Laura Street, Franklin
Street and Grand Central Street; and
WHEREAS, the City of Clearwater, Florida, wishes to participate in
such program and as a part of such participation is willing to pay one-half
(1/2) the annual operating and maintenance cost at each crossing not to
exceed $615.00 per year per crossing location;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY
COMMISSION OF THE CITY OF CLEARWATER, FLORIDA,
IN SESSION DULY AND REGULARLY ASSEMBLED, AS
FOLLOWS:
1. That the City Conunission of the City of Clearwater, Florida,
hereby requests the Florida Department of Transportation to include the
following crossing locations found in Clearwater, Florida, in its program of
installing crossing flashers and/or gates at hazardous railroad crossing
loc.ations: Seminole Street, Fairmont Street, Woodlawn Avenue, Park
Street, Laura Street, Franklin Street and Grand Central Street.
2. That the City of Clearwater, Florida, is willing to pay one-half
(1/2) the annual operating and maintenance costs at each crossing location
with such costs not to exceed $615.00 per year per cros sing location.
