control devices estimated at $53,400.00.
The enclosed documents have been approved by the Department and you may
consider this notice as your authorization to proceed with the work under the
direction of our District Engineer. Please extend advance notification of
work by Rai Iroad forces to our District Uti I ity Engineer.
The work under this contract shal I be performed in accordance with the
provisions of the Federal Highway Administration's Federal-Aid Program Manual
Volume I, Chapter 4, Section 3, and/or Volume 6, Chapter 6, Section 2, as re-
quired. Should additional information or meeting with Department representatives
be needed~ please let us know.

WHEREAS, the work contemplated hereunder is subject to the pro,-isions of the Federal Ihghway
Administration Federal Aid High way Program l\Ianual, Volume 1, Chapter 4, Section 3 (FHPl'If 1-4-3),
as amended, and Federal Aid Highway Program \IanuaL Y olume 6, Chapter 6, Section 2, Subsection 1
(FHP,M 6-6-2-1), as amended, and DEPARTMEI\T'S Rule 14-46.02, Florida Administrative Code, as
amended.

A. The COl\IPANY shall:
1. Install by its own forces, with supcnision and approya! of the DEPARTMENT, at an

3. Render. the DEPARTMENT a final bill, inaccordance:w;rith. applicable Federal or State
regulations, within one hundred eighty (180) days from the completion date oftheprojeet, for all
actual reimbursable identified charges including credits for salvage or hetterments,if any, attributable

cost estimate. ..
4. Operate and maintain said devices and perform any adjustment, relocation or
replacement of said devices; the cost therefor shall be assumed or apportioned in accordance with
Paragraph C, below.
B. The DEPARTMENT shall:
L Promptly reimburse the COMPANY for all actu-alcOsts attriliutableto the project,
pursuant to ParagraphA.l.-,as-cbilledby-the COMPANY, pursuant to Paragraph A.3.
2. Retain ten pe.rcent from any progresspaymcnt.
C. The PARTIES agree:
1. That the cost for the operation and maintenance of the devices by the COMPANY shall
be shared as follows::
(a) Fifty percent (50%) shall be borne by the CITY and fifty percent (50%)
shall be borne by the COMPANY, in accordance with the attached Schedule of Annual Cost of
Automatic Highway Grade Crossing Traffic Control Devices, subject to future revision.
2. The cost of any adjustment, relocation or replacement of said devices shall be assumed
by the party initiating such action, unless otherwise provided for in this contract, existing contracts
between the parties, or in existing contracts between one of the parties and a third party.
3. Each party does hereby indemnify and hold harmless each other from all liahility,
claims and judgments (including attorney's fees) ariaing out of work undertaken by any such party
pursuant to this agreement, due to the nCf~ligcnt acts or omissions of their contractors, subcontractors,
employees, agents or representatiyes, respectively, except us otherl1ise covered by bonds or inE,urance.
This provision is a reciprocal covenant and in theevcllt any portion hereof is found by a Court or
competent jurisdiction to be unenforceable, then this entire ,\rticle C.3. shcll thereafter be unenforce-
able in all respect.

A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF CLEARWATER, FLORIDA, REQUESTING THE
FLORIDA DEPAR TMENT OF TRANSPOR TATION TO
INSTALL RAILROAD CROSSING FLASHERS AND/OR
GATES AT SEMINOLE STREET, FAIRMONT STREET,.
WOODLAWN AVENUE, PARK STREET, LAURA STREET,
FRANKLIN STREET AND GRAND CENTRAL STREET
AND AUTHORIZING THE CITY TO PAYS ITS ANNUAL
SHARE OF MAINTENANCE COST. .
WHEREAS, the Florida Department of Transportation is coordinating
a program throughout the State of Florida, utilizing Federal funds, to
eliIninate hazardous railroad crossing locations through the installation of
cros sing flashers and/or gates; and
WHEREAS, seven (7) locations exist in the City of Clearwater,
Florida, which are eligible for such program; and
WHEREAS, such crossin~ sites can be found at Seminole Street,
Fairmont Street, Woodlawn Avenue, Park Street, Laura Street, Franklin
Street and Grand Central Street; and
WHEREAS, the City of Clearwater, Florida, wishes to participate in
such program and as a part of such participation is willing to pay one-half
(1/2) the annual operating and maintenance cost at each crossing not to
exceed $615.00 per year per crossing location;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY
COMMISSION OF THE CITY OF CLEARWATER, FLORIDA,
IN SESSION DULY AND REGULARLY ASSEMBLED, AS
FOLLOWS:
1. That the City Commission of the City of Clearwater, Florida,
hereby requests the Florida Department of Transportation to include the
following crossing locations found in Clearwater, Florida, in its program of
installing crossing fla,shers and/or gates at hazardous railroad crossing
loc,ations: Seminole Street, Fairmont Street, Woodlawn Avenue, Park
Street, Laura Street, Franklin Street and Grand Central Street.
2. That the City of Clearwater, Florida, is willing to pay one-half
(1/2) the annual operating and maintenance costs at each crossing location
with such costs not to exceed $615.00 per year per cros sing location.
