OF FLORIDA, a component agency of the Stat~ of Florida, hereinafter
called the Department, and the CITY OF CLEARWATER, FLORIDA, here-
inafter called the City;
WIT N.E SSE T H:
WHEREAS, the City by resolution adopted on March 18, .1968,
has requested the Department to install a traffic signal at the
intersection of S..R. 60 (Section 15040) and S.R. 55 (U.S. 19 -
Section 15150), in Clearwater, Pinellas County, Florida, the esti-
mated cost of which is $8,000, to be identified as TP Project 15-12;
NOW, THEREFORE, THIS INDENTURE WITNESSETH: Tha t the
Department and the City for and in consideration of the premises
and'of the sum of One Dollar each to the other in hand paid, the
receipt wh~reof is hereby acknowledged, do mutually covenant and
agree as follows:
THE DEPARTMENT AGREES:
1.. To prepare plans and specifications for the work
involved, and advertipe for bids for the equipment and materials..
The decision as to the type and make of equipment pu~chased will be
at the Department's discretion.

2. To furnish technical supervision during the instal-

lation phase of the work and finally inspect the completed project.
3. To pay 50% pfthe cost of said project using primary
fun~s therefor.

THE CITY AGREES:
1. To perform the complete installation.
2. To furnish all miscellaneous hardware necessary for
the complete installation of said traffic signal.

3. That the equipment shall remain the property of the
Department, and it is hereby understood and agreed that the City
shall not, under any condition, remove the equipment which is the
subject matter of this Agreement for any reason without permission
and written consent of the Department.
4. That it will not change the wiring within the cabinet
or. the timing on the traffic signal without prior written approval
from the Department's District Engineer.
5. Upon completion of the installation, to assume the sole
responsibility for the maintenance of said traffic signal, in
accordance with the Department's policies and "Standard Specifi-
cations for Traffic Control Signals and Auxiliary Eq:uipmenti" and
th~ payment for all costs for electricity and electrical charges
incurred in connection with the operation thereof out of the 'City's
funds.
6. To indemnify, defend, save and hold harmless the
Department from any claims, demands or liabilities of any nature
whatsoever arising out ot or because of this Agreement.
7. To pay, ~n advance, 50% of the cost of the equipment and
materials needed for installation of said traffic signal from City
funds.
The parties further CQVellg,Ilj:_and agree that. adjustmen!:_l:>r.
the Department of the final cost of this project will be made
upon its completion and acceptance by the Department.
It is mutually agreed that the Department's. State Highway

whatever nature which may arise under or by reason of this Agreement,

the prosecution and fulfillment of the services hereunder, and the
character, quality, amount,and value thereof, and his decision
upon all claims, questions and disputes shall be final and Gon-

RESOLUTION
No, 68 -37
WHEREAS, the Florida State Road Department has determined that
a. tJ:'a.fiic signal installation if; necessary at U. S. 1 ') and S'~ate Rc'ad 60 in ti16
City of Clearwater, Florida; and
WHEREAS, the City of Clearwater is willing to pay fifty per cent
(50%) of the cost of such traffic signal, install said traffic signal an.d
maintain the same;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY
COMM1.SSION OF THE CITY OF CLEAR WATER, FLORIDA,
IN SESSION DULY AND REGULARLY ASSEMBLED, AS
FOLLOWS:
1. That the City of Clearwater hereby agrees to pay to the State
Road Department fifty per cent (50%) of the cost of the following:
a. Six-pac modular unit with base mounted cabinet
b. Six detectors with power supply
c. Eight traffic signal heads, three section, one way with
disconnect hangers and twelve inch lenses
(1, Four tra:ffic signal heads, four section, Clne way with left
turn 0.1' rows, dis connect hangers and tv-lelve inch lenses
e. Four concrete strain poles Class VI
2. That the City of Clearwater further agrees to furnish all mis cel1aneous
hardware, to install the equipn1.cnt and to service .::J.nd !naintC1.in s2.id installation.
3. That the State Road Department agrees to purchase the aforesaid
equipment on a competitive bid basis.
4. That five copies of this Resolution be sent to Mr. C. W.
Monts De Oca, District Engineer, State Road Department, Bartow, Florida.
