THIS AGREEMENT, made and entered into this /h -day of ,1912 ,
by and between the STATE OF FLORIDA DEPARTMENT OF TRANSPORTATION, hereinafter called the
DEPARTMENT, and CSX TRANSPORTATION, INC., a corporation of Virginia with its principal
place of business in the City of Baltimore , County of Baltomore
State of Maryland , hereinafter called the COMPANY; and the City of Clearwater
a municipal corporation, hereinafter called the CITY,
WITNESSETH:
WHEREAS, the DEPARTMENT is constructing,reconstructingo[ otherwise changing a portion. of.
the Public Road System, designated by the DEPARTMENT as Job No. 15000-6924
between H~rt StrRRt and Eldrid~e Street
which crosses at grade the right-of-way and tracks of the COMPANY at a point
feet WRst from the COMPANY'S Milepost SY-874
Number 626816-p , at or near Clearwater
as shown on DEPARTMENT'S Plan Sheet No. One , attached hereto as a part hereof; and

WHEREAS, the work contemplated hereunder is subject to the provisions of the Federal Highway
Administration Federal Aid Highway Program Manual, Volume 1, Chapter 4, Section 3 (FHPM 1-4-3),
as amended, and Federal Aid Highway Program Manual, Volume 6, Chapter 6, Section 2, Subsection
1 (FHPM 6-6-2-1). as amended, and DEPARTMENT'S Rule 14-46,002 Florida Administrative Code, as
amended; and
NOW, THEREFORE, in consideration of the mutual undertakings as herein set forth, the parties hereto
agree as follows:
A. The COMPANY shall:
1, Install by its own forces, with supervision and approval of the DEPARTMENT, at an estimated
cost of $ 62.575.55 , itemization of which is attached hereto,
automatic railroad grade crossing traffic control devices, hereinafter called "Devices", at said location,
in accordance with (1) the attached detailed statement of the work, plans and specifications; (2) the
DEPARTMENT'S Plans and Standards Index Number 17882; and (3) FHPM 1-4-3 and FHPM 6-6-2-1,
or Rule 14-46.002, all of which by reference are made a part hereof.
2. Provide protective services in accordance with U.S. Department of Transportation Manual
of Uniform Traffic Control Devices during the performance of the work, as indicated in the attached
plans and specifications, the cost of which fs included in the attached cost estimate.

3. Render the DEPARTMENT a final bill, in accordance with applicable Federal or State
regulations, within one hundred eighty (180) days from the completion date of the project, for all actual
reimbursable identified charges including credits for salvage or betterments, if any, attributable to the
project; and itemize all substantial charges in a form comparable to the charges contained in the cost
estimate. .~

4. Operate and maintain said devices and perform any adjustment, relocation or replacement
of said -devices; the cost therefor shall be assumed or apportioned in accordance with Paragraph C.
below.:

B. The DEPARTMENT shall:
1. Promptly reimburse the COMPANY for all actual costs attributable to the project, pursuant
to paragraph A.1., as billed by the COMPANY, pursuant to Paragraph A.3.
C. The PARTIES agree:
1. That fifty percent (50%) of the cost for the operation and maintenance of the devices by
the COMPANY shall be borne by the CITY and fifty percent (50%) shall be borne by the COMPANY,
in accordance with the attached Schedule of Annual Cost of Automatic Highway Grade Crossing Traffic
Control Devices, subject to future revision.
2. That the cost of any adjustment, relocation or replacement of said devices shall be assumed
by the party initiating such action, unless otherwise provided for in this contract, existing contracts between
the parties, or in existing contracts between one of the parties and third party. Unless otherwise agreed
upon herein, the CITY agrees to insure that at the crossing the advance warning signs and railroad
crossing pavement marking will conform to the MUTCD within 30 days of notification that the railroad
signal improvements have been completed and that such signs and pavement markings will be continually
maintained at an acceptable level.

4. That any provision contained in any existing contract relating to said crossing, whether between
the parties hereto and/or third parties, shall be, and does, remain in full force and effect, except as
otherwise provided herein. .
It is understood and agreed that_ this agreement shall not be binding until it has been authorized
or ratified by a proper ordinance or resolution of the CITY Commission of the City of Clearwater
Florida, a certified copy of which ordinance or resolution is attached hereto and made a part hereof.

October 5, 1987. The total amount authorized at this time is $36,OO~l W
($32,400 Federal funds), which includes preliminary engineering in the
amount of $1,800 ($1,620 Federal funds).

This authorization is given in accordance with provisions of FHPM 6-6-2-1,
Paragraph 10, with the understanding that work at any particular location
will not be undertaken unless and until the final plans, specifications,
and estimate are approved by FHWA and with the further understanding that
only material actually incorporated into the project will be eligible for
Fed~ra1 participation.
Authorization is given with the understanding that advance warning signs
and railroad crossing pavement markings will conform with the MUTeD prior

RESOLUTION NO. 92-14
A RESOLUTION OF THE CITY OF CLEARWATER, FLORIDA,
AUTHORIZING EXECUTION OF A RAILROAD REIMBUR~EMENT
AGREEMENT FOR THE INSTALLATION OF GRADE CROSSING TRAFFIC
CONTROL DEVICES AT VINE AVENUE AND FUTURE MAINTENANCE
AND ADJUSTMENT OF SAID DEVICES; PROVIDING FOR THE
EXPENDITURE OF FUNDS; PROVIDING AN EFFECTIVE DATE.
WHEREAS, the State of Florida Department of Transportation is constructing,
reconstructing or otherwise changing a portion of the public road system between
Hart Street and Eldridge Street, which shall call for the installation and
maintenance of railroad grade crossing traffic control devices for railroad grade
crossings at Vine Avenue; and
WHEREAS, the City of Clearwater desires to enter into an agreement for the
installation and maintenance of the railroad grade crossing traffic control
devices; now, therefore,
BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF
CLEARWATER, FLORIDA:
Section 1. The City of Clearwater is authorized to enter into a Railroad
Reimbursement Agreement, a copy of which is attached as Exhibit A, with the State
of Florida Department of Transportation (DOT) and CSX Transportation, Inc. (CSX)
for the installation and maintenance of certain grade crossing traffic control
devices designated as Job No. 15000-6924 on Vine Avenue which crosses the right-
of-way and tracks of CSX at FDOT/AAR Crossing No. 626816-P located in Cleai"/'Jater,
Florida.
Section 2. The City shall assume its share of the costs for future
maintenance and adjustment of said grade crossing traffic control devices as
designated in the Railroad Reimbursement Agreement per the annual maintenance
schedule attached hereto as Exhibit B.
Section 3. The Mayor and City clerk are authorized to enter into such
agreement with the DOT and CSX as herein described.
Section 4. This resolution shall take effect immediately upon adoption.

WHEREAS, the work contemplated hereunder is subject to the provisions of the Federal Highway
Administration Federal Aid Highway Program Manual, Volume 1, Chapter 4, Section 3 (FHPM 1-4-3),
as amended, and Federal Aid Highway Program Manual, Volume 6, Chapter 6, Section 2, Subsection
1 (FHPM 6-6-2-1). as amended, and DEPARTMENTS Rule 14-46,002 Florida Administrative Code, as
amended; and
NOW, THEREFORE, in consideration of the mutual undertakings as herein set forth, the parties hereto
agree as follows:
A. The COMPANY shall:
1, Install by its own forces, with supervision and approval of the DEPARTMENT, at an estimated
cost of $ 62.575. S5 , itemization of which is attached hereto,
automatic railroad grade crossing traffic control devices, hereinafter called "Devices", at said location,
i.n accordance with (1) the attached detailed statement of the work, plans and specifications; (2) the
DEPARTMENT'S Plans and Standards Index Number 17882; and (3) FHPM 1-4-3 and FHPM 6-6-2-1,
or Rule 14-46.~02, all of which by reference are made a part hereof.
2. Pr?vide protective services in accordance with U.S. Department of Transportation Manual
of Uniform Ttaffic Control Devices during the performance of the work, as indicated in the attached
plans and specifications, the cost of which i's included in the attached cost estimate.
