MEMORANDUM OF AGREEMENT
AMENDMENT THREE
THIS AGREEMENT, made and entered into this , day of ,2001, by and
between the State of Florida, Department of Transportation, hereinafter referred to as "Department"
and the State of Florida, Department ofInsurance, Division of Treasury, hereinafter referred to. as
"Treasury" and the City of Clearwater, hereinafter referred to as the "Participant".
WITNESSETH:
WHEREAS, the Participant, the Department and the Treasury entered into a Memorandum of
Agreement dated June 27, 1997, and on January 5, 2001 entered into a first amendment to the
Memorandum of Agreement, and a second amendment on June 28, 2001. The following is the
project information:

hereinafter referred to as the "MOA".
WHEREAS, the parties to the MOA mutually agreed that it would be in the best interest of
the Department and the Participant if an escrow account were established to provide funds for the
work to be performed on the Project.
NOW THEREFORE, in consideration of the premises and the covenants contained herein,
the parties agree to the following:
In accordance with Paragraph 5 of the Memorandum of Agreement, interest accumulated in
the escrow account shall be handled as follows:
1. Upon receipt of notification by the Treasury of the interest earned for the previous
quarter/fiscal year, the Department will notify the Participant in writing of said amount.
2. A "Request for Interest Disbursement Form", provided to the Participant by the Department,
shall be submitted to the Department's Comptroller to notify the Department of the amount
of interest to remain in the escrow account for the purposes of the project as defined in the
MOA, and the amount to be released to the Participant to be used as appropriate under the
Bond Resolution, and applicable laws, rules and regulations.
3 . Upon receipt of the Request for Interest Disbursement Form and verification of the amounts,
the Department's Comptroller shall direct the Treasury to issue a warrant to the Participant in
the amount requested.
