existing under \:h~ 1a\78 of the State of Florida with
its principal office and place of business in Pinellas CounLY> Florida, herein-
after called the SEL1...ER, and FLORIDA PO:<lER CORPORATION, a corporation organized
and existing under and by virtue of the laws of the State of Florida, with its
principal office and place of business in the City of St. Petersburg, Pinellas
County, Florida, hereinafter called the PURCF.ASER;
WITNESSETH, that the SELLER, for and in consideration of the sum of
ONE AND NO/IOO DOLLARS ($1.00) and other valuable consideration, to it in hand
paid, at and before the signing, sealing and delivery of these presents, the
receipt whereof is hereby ackno~ledged, has bargained, sold, conveyed, trans-
ferred, set over, assigned and delivered and by these presents does bargain, sell,
convey, transfer, set over, assign and deliver unto the PURCHASER the follmving
goods and chattels, to wit:

including, without limiting the generality of the foregoing, all related
hardware, equipment and facilities attached to and being a part of the
above-described overhead and underground electric street lighting facilities.

The above-described facilities are presently installed within the
corporate limits of the City of Clearwater, the locations of which are more
particularly shown on Florida Power Corporation Drawings No. W-182-A, W-183-B,

V-444-C and V-26-D, attached hereto as Exhibit "A"~ incorporated herein and made ....
a part hereof.
PURCHASER agrees to operate and maintain the above-described facilities

I upon consummation of this purchase. PURCHASER also ag~es to relocate the
\ above-described facilities at the request of SELLER and continue billing energy
~charge only for the relocated facilities. It is further understood and agreed,
if it is necessary to relocate the facility for the purpose of road construction
or some other reasonab,le and proper public purpose ,the fURCHASER agrees to pay
all expenses incidental to the relocation. If, however, the fixtures must be

removed at the request of the SEL~R, and may later be reinstalled at the request
of the SELLER then the PURCHASER shall bill the SELLER for all labor costs in
connection with reinstallation and the SELLER shall not be billed for fixture
charges.
TO HAVE AND. TO HOLD, all and singular, the s~id property and every part
thereof unto the PURCHASER forever.
The SELLER hereby covenants that it is the lawful owner of property conveyed
by this Bill of Sale and that it has the full power and authority to sell,. transfer,
set over and assign the same and that the SELLER hereby fully warrants the title to
said goods and chattels and will defend the same against the lawful claims of all
persons whomsoever.
IN WITNESS WHEREOr, the. CITY or CLEARWATER haa caused there presents to be
duly executed by the City Manager of said City, confirmed by the
Mayor of said City and attested by the GUy Clerk,
