BILL OF SALE
THIS BILL OF SALE made and entered into on this I tJ a day

, 1965, by and between the CITY OF CLEARWATER,
a municipal corporation, organized and existing under the laws of the
Stat~ of Florida, with its principal office and place of business in
Pine11as County, Florida, hereinafter called the SELLER, and FLORIDA
POWER CORPORATION, a corporation organized and existing under and by vir-
tue of the laws of the State of Florida, with its principal office and
place of business in the City of St. Petersburg, Pine11as County, Florida,
hereinafter called the PURCHASER;
WITNESSETH, that the SELLER, for and in consideration of the sum
of FOUR THOUSAND FOUR HUNDRED FORTY-SIX AND 17/100 DOLLARS ($4,446.17)
and other valuable consideration to it in hand paid at and before the
signing, sealing and delivery of these presents, the receipt whereof is
hereby acknowledged, has bargained, sold, conveyed, transferred, set over,
assigned and delivered and by these presents does bargain, sell, convey,
transfer, set over, assign and deliver unto the PURCHASER the following
goods and chattels comprising underground street lighting systems which
are located within:

(1) A portion of (a) Keystone Avenue between Jeffords Street and
Druid Road, together with an easement area extending in an
Easterly direction for a distance of approximately 264 feet,
(b) Keystone Court, Sandstone Court and Flagstone Court West
of Keystone Avenue, (c) Spencer Street South of Magnolia
Drive, (d) Duncan Avenue, South of Magnolia Drive,
together with an easement area extending in a Westerly
direction for a distance of approximately 156 feet.

(2) A portion of (a) Imperial Way, East of Gateway Drive, (b) Embassy
Drive North of Imperial Way, together with an easement area
extending in an Easterly direction for a distance of approximately
120 feet, (c) Attache Court, West of Embassy Drive, together
with an easement area extending in a Westerly direction for a
distance of approximately 115 feet. (Drawing #R-648-B, dated

(3) A portion of (a) Claiborne Drive, North and West of Williams
Drive and South of Habersham Drive, together with an easement
area extending in an Easterly direction for a distance of
approximately 160 feet, (b) Claiborne Drive, South of Harn
Boulevard and North of Habersham Drive, together with an easement
area extending in an Easterly direction for a distance of approxi-
mately 145 feet, (c) Habersham Drive,"North and West of
Williams Drive, together with an easement area extending in a
Northerly direction for a distance of approximately 110 feet,
(d) Williams Drive, Northeasterly of Habersham Drive and
Southwesterly of Harn Boulevard, (e) Harn Boulevard, South-
easterly of Williams Drive, together with an easement area
extending in a Southwesterly direction for a distance of approxi-
mately 114 feet, (f) Flushing Avenue between Barn Boulevard
and Charles Drive, (g) Hennesen Drive, between Flushing Avenue
and Cnarles Drive, together with an easement area extending in
a Southwesterly direction for a distance of approximately 125
feet, (h) Charles Drive between Flushing Avenue and Harn
Boulevard, (i) York Drive, between Charles Drive and Harn Boule-
vard, together with an easement area extending in a Westerly
direction for a distance of approximately 150 feet.

(4) A portion of (a) Williams Drive, Southwesterly of Barn Boulevard
and South of Morning Side Drive, together with an easement area
extending in a Northwesterly direction for a distance of approxi-
mately 200 feet, (b) Morning Side Drive between Belcher Road and
Williams Drive, together with an easement area extending in a
Northerly direction for a distance of approximately 115 feet.

including, without limiting the generality of the foregoing, all
related hardware, equipment and facilities attached to and being
a part of the above underground street lighting facilities.
The foregoing described underground street lighting facilities
are shown on six (6) maps attached hereto, each entitled Exhibit "A",
incorporated herein and by this reference made a part hereof. In the
event there is any conflict between the foregoing description in this
indenture and said attached maps, the maps shall prevail.
TO HAVE AND TO HOLD all and singular the said property and
every part thereof unto the PURCHASER forever.
The SELLER hereby covenants that it is the lawful owner of
property conveyed by this Bill of Sale and that it has the full power
and authority to sell, transfer, set over and assign the same, and that

the SELLER hereby fully warrants the title to said goods and chattels
and will defend the same against the lawful claims of all persons
whomsoever.
IN WITNESS WHEREOF, the CITY OF CLEARWATER has caused its
name to be hereunto subscribed by the City Manager of said City,
