WIT N E SSE T H: WHEREAS, EDMUND S. WHITSON, JR., owns the real prop- erty described on Exhibit "A" attached hereto ("the Annex Property") i and WHEREAS, Owner wishes for the Annex Property to be annexed into the City and to change the existing citrus grove usage thereof provided that the City agrees to provide utili- ties and to agree to certain other conditions relative to the Annex Property; and WHEREAS, the City wishes to annex the Annex Prop- erty provided that Owner agrees to certain conditions rela- tive to the Annex Property; and WHEREAS, Owner has heretofore filed with the City a Petition for Annexation and Zoning and an Application to Amend Land Use Plan relative to the Annex Property; and WHEREAS, the parties wish to set forth in writing their Agreement relative to the Annex Property. J NOW, THEREFORE, in consideration of the mutual promises herein contained, the parties agree as follows: 1. Recitals. The foregoing recitals are true and correct. 2. Annexation. Parkland Dedicati~. .The.City's parkland degica- 4I.4".A.&oC~ ~-6(... ~ A:n a-..~~~<<.J tion requirementsAshall be satisfied by pa~nt of cash in lieu of land, and may be paid in jnstallments, as follows: one-third ~ within 30 days after date intial building permit shall have been issued, but not later than one (1) year from date hereof, one- third within 12 months after such date, and balance within 24 months after the date of first payment. Each payment shall in- clude accrued interest from date hereof at the rate of 10% on the unpaid balance. Owner shall have the right to prepay with- out penalty at any time. 5. Land Use Designation and Zoning. Upon annexation of the Annex Property into the City, the Land Use Plan designa- tion and Zoning Atlas Category for the property shall be as follows: Parcel I The North 500 feet of Annex Property City Zoning Atlas: PS - Professional Service City Land Use Plan: Residential/Office County Land Use Plan: Residential/Office Parcel II - Annex Property less Parcel I - City Zoning Atlas: CG - Commercial General City Land Use Plan: Commercial Tourist Facility County Land Use Plan: Commercial General The permitted uses and special exceptions, and all area, set-back, height, parking, landscaping and related requirements sh~ll be consistent with the respective plan and zoning designations ap- plicablE to the Annex Property at the time of the annexation of the Annex Property. Nothing herein shall preclude the subse- quent amendment of the Land Use Plan or Zoning Atlas Categories or the applicable requirements thereunder, except that develop- ment shall be entitled to proceed in accordance and consistent with the specific authorization of this Annexation Agreement and the Site Plan. -2- ,.'" The City and the Owner recog- nize the need for maximum certainty regarding the availability of water and sewer services to the Annex Property, and City agrees to make available to the Annex Property water and sewer services at a level of not less than that required to serve the level of development required by the approved site plan. It is agreed, however, that the City shall not by this Agreement incur any obligation to install water or sewer lines to the property other than in accordance with City policy and ordi- nances in effect at the time of annexation, and the Owner shall bear Euch expenses associated therewith as are generally ap- plied to Owners of property similarly situated within the City. 7. Roads. It is agreed that all roads to be con- structed upon the annexed property shall be private and shall not be dedicated to the public or the City, nor shall Owner be required to dedicate any additional rights of way for existing public roads contiguous to the property. City agrees to main- tain all existing road access to the property as may be now or hereafter within its jurisdiction or control. Sidewalks shovm on site plan shall be constructed at Owner's expense. By sepa- rate agreement, the parties shall provide for sharing of costs for improvements to Highland Avenue as proposed by the City's Traffic Engineer. 8. Easements. OWner agrees to grant non-exclusive utility and sidewalk easements to the City as shown on the site plan, provided, however, that no such easement shall re- strict the right of the Owner to include the area of such ease- ments irl gross land area or site size calculations or computa- tions incident to the application of any development or build- ing regulation ordinance including, but not limited to, build- ing site area requirements, set-backs, open space or green areas, in the same manner o.s if such easements were not in ex- istence" Owner shall also grant to the City the right, of ve- hicular ingress and egress upon the property for purposes of providing police and fire protection and garbage and trash collection. -3- ~ ~ . , . *. ~ :or J to-:~.5457 PAGE 635 9 ~ Remedies. The parties recognize that damages for a breach by either party of the terms of this Agreement may be difficult or impossible to ascertain. The parties fur- ther recognize that there may be no adequate remedy at law for any such breach~ The parties agree that either mandamus, spe- cific performance or injunctive relief (either prohibitory or mandatory, both temporary or permanent) is an appropriate remedy in the event of breach, whether actual or anticipatory, of this Agreement. In the event of any litigation arising out of this Agreement, the prevailing party shall be entitled to recover its costs, including reasonable attorney's fees. 10. Binding Agreement. This Agreement shall be bind- ing on and inure to the benefit of the parties and their re- spective successors and assigns or heirs. This Agreement shall become effective upon final adoption of the ordinance annexing the property described herein and shall remain in effect for ten (10) years following the effective date of annexation. This, of course, was evidenced by my signature upon the Annexation Agreement which was fully executed by both parties at the conclusion of the City Commis- sion meeting of January 6, during which the Annexation Ordin- ance was also ~dopted. This letter should be appended to the contract or included in the minutes to evidence this ratification and the fact that it was everyone's intent that the Agreement was to become effective upon final adoption of the Ordinance on Janu- ary 6, 1983, as provided in the Agreement. Bustin, City Attorney Letter and Annexation Agreement Concerning the Whitson Property December 30, 1982 I am in receipt of the letter of December 22 addressed to you and the attached draft annexation agreement prepared by George Greer, attorney for Mr. Whitson. Mr. Greer has revised the draft originally submitted by Mr. Whitson following a lengthy meeting which I had with them. In light of the fact that I did noc see this redraft until Monday of this week, given several important matters of substance on which we appear to still disagree, and in recognition that the agreement is at their insistence, I recommend we continue the second ordinance reading for the annexation and zoning of the Whitson property from January 6 to January 20 in order to allow next week to meet with Messrs.
