THIS SECOND AMENDMENT TO ANNEXATION AGREEMENT (IISecond Amendmentll) is made and
entered into this ~~ of ~ ,1989, by and between the
CITY OF CLEARWATER, FLORIDA, a municipal corporation (IICityll), and McMULLEN
BOOTH, LTD., a Florida limited partner ship (IIMcMullen II ) .

WHEREAS, the City and McMullen's predecessor in interest, David Bilgore and
Company, Inc., a Florida corporation, entered into that certain Agreement dated

July 16, 1981, and recorded August 5, 1981, in O.R. Book 5230, Page 798, Public
Records of Pinellas County, Florida (IIAgreementll), as to the proposed annexation
and development of the property more particularly described in Exhibit IIA"
attached hereto ("Annexation Area"), and
WHEREAS, McMullen is the owner of a portion of the Annexation Area subject to

WHEREAS, the Agreement was amended on August 4, 1988, with respect to the
