FIRST AMENDMENT TO ANNEXATION AGREEMENT
WIT N E SSE T H:
WHEREAS, the City and McMullen's predecessor in interest,
David Bilgore and Company, Inc., a Florida corporation, entered
into tha.t certain Agreement dated July 16, 1981 and recorded
August. 5, 1981 in O.R. Book 5230, Page 798, Public Records of
Pinellas County, Florida ("Agreement), as to the proposed
annexation and development of the property more particularly
described in Exhibit "A" attached hereto and made a part hereof
("Annexation Area"), and

WHEREAS, McMullen is the own~r of a portion of the
Annexation Area subject to the Agreement, with said portion being
more particularly described in Exhibit "B" ("McMullen Property");
and
WHEREAS, the City and McMullen have agreed that with respect
to the McMullen Property only, the Agreement shall be modified in
accordance with the terms of this Amendment;

2. Sections 5(b)(3) and 5(b)(4) of the Agreement are
hereby deleted in their entirety.
3. All other terms and conditions of the Agreement are

except as modified hereby.
IN WITNESS WHEREOF, the parties hereto have executed this
Amendment as of the day and year first above written.
