THIS AGREEMENT, made and entered into this

, A. D. 1973, by and between the CITY OF CLEARWATER,
FLORIDA, a municipal corporation, hereinafter referred to as "City", and
DA VID BILGORE & COMPANY, INC., a Florida corporation, hereinafter
referred to as "Bilgore1!;
WITNESSETH
WHEREAS, Bilgore has requested the City to annex certain real
property owned by it into the City limits of the City of Clearwater; and
WHEREAS, Bilgore and/ or its subsidiaries own other real property
in the area described as follows:
NE 1/4 of the NW l/4 of Section 9, Township 29 South,
Range l6 East, lying South of the Seaboard Coast Line Railroad
and North of Alligator Creek,
AND
W 1/2 of NW 1/4 of Section 9, Township 29 South, Range 16
East, lying North of the Seaboard Coast Line Railroad; and
WHEREAS, the City is willing to annex such property as requested
at this time, but in order to guarantee that the whole area will be developed
in accordance with the City's comprehensive plan desires to be assured that
the other real property as above described, owned by Bilgore and/ or its
subsidiaries, in the area will be annexed into the City of Clearwater when the

same is to be developed and no longer used for the commercial purposes for
which it is presently used;
NOW, THEREFORE, in consideration of the mutual covenants and
agreements herein contained, the parties hereto agree as follows:
1. Bilgore covenants and agrees that when the real property in the
above described area owned by it and/or its subsidiaries is no longer to be
used for the present commer cial purposes, that it will, before development of
said real property, petition the City of Clearwater for annexation of such
property into the City limits of said City.

2. The City agrees that when such a petition for annexation is sub-
mitted to it, it will consider same in accordance with the comprehensive plan
as adopted at that time.
3. Bilgore agrees that this agreement shall be binding upon any of
its subsidiaries owning real property in the area and on its pers anal repre-
sentatives, administrators, successors and assigns, and that the City may
record this document if it so des ires.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement
