ASSIGNMENT OF MEDICAL DIRECTOR AGREEMENT
THIS ASSIGNMENT AGREEMENT made this

, A. D. 1979, by and between RICHARD S. SLEVINSKI,
M. D., hereinafter known as Assignor, and DALE G. MASSAD, M. D.,
115 Phillips Way, Plam Harbor, Florida, hereinafter known as Assignee;
WITNESSETH:
WHEREAS, Assignor and the City of Clearwater, Florida, entered
into an agreement dated August 1, 1979, whereby Assignor agreed to function
as the medical service director pursuant to Chapter 401, Florida Statutes; and
WHEREAS, Assignor is leaving Pinellas County; and
WHEREAS, Assignee is willing to accept an assignment of the agreement
mentioned herein and to serve as medical service director for the City of
Clearwater, Florida, pursuant to Chapter 401, Florida Statutes; and
WHEREAS, the City of Clearwater is willing to consent to such
assignment;
NOW, THEREFORE, for and in consideration of the premises and
of the mutual covenants and agreements herein contained, it is agreed as
follow s :
1. Assignor hereby assigns and transfers to Assignee all his right
and interest in that certain agreement dated August 1, 1979, between the
City of Clearwater, Florida, and Assignor whereby Assignor agreed to
function as medical service director for the City of Clearwater pursuant
to Chapter 401, Florida Statutes, and Assignee hereby agrees to accept

such assignment and agrees to be bound by all of the provisions contained
in such agreement until such time as the agreement expires.
2. Assignor represents to Assignee and the City of Clearwater,
Florida, that performance of provisions of the agreement is current as

of the date of execution of this assignment.

3. Assignor and Assignee agree that the assigmnent provided for
herein shall become effective on December 1, 1979, and upon the City of
Clearwater, Florida, providing its written consent to such assignment.
IN WITNESS WHEREOF, the parties hereto have executed this
Assignment Agreement the day and year first above written.

CONSENT TO ASSIGNMENT
The CITY OF CLEARWATER, FLORIDA, a municipal corporation,
the Provider in the above described medical director agreement, hereby
consent s to the foregoing assignment from Richard S. Slevinski, M. D. to
Dale G. Massad, M. D.
