MULTI-YEAR SERVICE ADDENDUM
BETWEEN
CITY OF CLEARWATER
AND
DIGITAL EQUIPMENT CORPORATION
Preamble
The purpose of this service Addendum is to provide Purchaser with special
pricing for services. The following terms and conditions are in addition
to Digital's U.S. Standard Terms and Conditions and any applicable
Service Description(s). In the event of conflict, these special Terms
and Conditions shall prevail.
1. Scope of Addendum
This addendum applies only to maintenance services currently provided by
Digital to Purchaser on its existing hardware products. This addendum
does not apply to any other services including, but not limited to:
services currently offered by Digital but not provided to Purchaser, new
services that may be offered in the future by Digital, and like services
on different products. Such services, at Digital's option, may be
included herein if requested by Purchaser.
2. Term
This Addendum is effective 01 JULY 1993 (Commencement Date") and shall
continue for a period of THREE Years from the Commencement Date.
3. Maintenance
Digital shall maintain Purchaser's Eligible Equipment [as defined in the
applicable Service Description(s)] for the Term of this Addendum, subject
to any and all qualifications set forth therein.
4. Charges:
Bardware maintenance charges for equipment covered by this Addendum shall
not increase by more than SEVEN percent (7%) annually for year TWO (2)
and SEVEN percent (7%) annually for year THREE (3) (other than for
incremental charges due to configuration changes) for the Term of this
Addendum.
Also, hardware and software maintenance charges shall receive a price
reduction of FrYE percent (5%) for the Term of this Addendum. This
discount will not pertain to products unannounced at the inception of
this agreement.

Software maintenance charges for equipment covered by this Addendum shall
not increase by more than SEVEN percent (7%) annually for year TWO (2)
and SEVEN percent (7%) annually for year THREE (3) (other than for
incremental charges due to configuration changes) for the Term of this
Addendum.
5. Termination for Cause
Either party may terminate services for cause if, after giving the party
in default thirty (30) days written notice, such party does not cure the
alleged default.
6. Termination for Convenience
Termination is 180 day written notice without penalty charge.
7. Obsolete Equipment/Software Retirement
Notwithstanding paragraphs 5 and 6 above, Digital shall have the option,
after one hundred and eighty days (180) prior written notice, to provide
on a time and materials basis, hardware services for those products that
have not been manufactured in volume by Digital for a period greater than
five (5) years. Also, Digital may withdraw from service individual
software products which have been discontinued or reclassified as
"Customer Supported" upon one hundred and eighty days (180) prior written
notice (such notice shall not be issued prior to the end of the first
year of service).
8. Termination for Fiscal Non-Funding:
In the event sufficient budgeted funds are not available for a new
fiscal period, the City shall notify the vendor of such occurrence
and contract shall terminate on the last day of the current fiscal period
without penalty or expense to the City.
