THIS AGREEMENT," made and entered into this .1-~ day of

corporation, hereinafter referred to as "Owner", and the CITY OF CLEARWATER,
FLORIDA, a municipal corporation, hereinafter referred to as "City'1;
WITNESSETH:
WHEREAS, the Owner presently OWns the following described real

WHEREAS," the Owner is desirous of and has requested the City
to construct paving, curbs and drainage on Spencer Street adjacent to said
real property and is willing to pay its pro-rata share of such construction; and
WHEREAS~ the City is willing to construct such paving, curbs and
drainage under certain conditions;
NOW, THEREFORE," in consideration of the foregoing premises and
other good and valuable considerations, the parties hereto covenant and agree
as follows:
1. The Owner agrees that the City may construct paving, curbs
and drainage of Spencer Street adjacent to said above described real property
and upon completion of said project, the Owner further agrees that it will
immediately pay to the City its full pro-rata share of such construction costs.

2. This Agreement shall run with the land and shall be binding upon
the heirs, administrators, personal representatives, successors and assigns
of the parties hereto and a copy thereof may be immediately filed in the Public
Records of Pinellas County, Florida, by the City so as to serve as notice
thereof to all other persons.
