NEWSPAPER CLIPPING & PHOTOGRAPH COLLECTION '. I I DEED OF GIFT Deed of Gift, made as of this 6th day of March, 1991, by CLEARWATER NEWSPAPERS, INC., a corporation organized under the laws of the State of Delaware, having a principal place of business at 301 S. Myrtle Avenue, Clearwater, Florida. CLEARWATER NEWSPAPERS, INC., by way of gift, hereby does remise, release, assign, transfer and quitclaim to the City of Clearwater, Florida, for the benefit and use of the CLEARWATER PUBLIC LIBRARY SYSTEM, all of the right, title and interest of Clearwater Newspapers, Inc. in and to that certain collection of newspaper clippings and photographs more particularly described in Exhibit A attached hereto, save and except only that this Deed of Gift does not convey, transfer or assign any interest in or to any trademarks, trade names, service marks, symbols, copyrights, literary property or other intangible personal property in respect of the newspaper clippings and photo- graphs described in said Exhibit. I I The undersigned, being the duly elected, qualified and acting Assistant Secretary of CLEARWATER NEWSPAPERS, INC., a Delaware corporation, hereby certifies that the resolutions hereinbelow set forth were duly adopted by the Board of Directors of said corporation on December 13, 1990, and are now in full force and effect and have not been modified in any respect: RESOLVED, that the proper officers of this Company be and they hereby are authorized, empowered and directed to contribute to the City of Clearwater, Florida, for deduction in taxable year 1990, the following property comprising the Clearwater Newspaper morgue, and deliver same to said City no later than March 14, 1991 by symbolic delivery if physical delivery by that date is not practicable: (a) a collection of approximately 277,000 newspaper clippings, (b) a collection of approximately 62,000 photographs and 144,000 photograph negatives, (c) 32 filing cabinets which house those clippings and photographs. FURTHER RESOLVED, that the proper officers of this Company be, and each of them severally is, authorized, empowered and directed to take such other action as shall be deemed by them to be necessary or appropriate to effectuate the full intent and purposes of the foregoing resolution, including but not limited to, the execution and delivery, in the name and on behalf of this Company and under its corporate seal, of any and all deeds, assignments, certificates and other instruments and papers incident and appropriate thereto, this Board of Directors hereby ratifying and confirming all that its said officers may do in connection therewith. Deed of Gift and certified resolution of the Board of Directors of Newspaper, delivered by Newspaper to City. 2. Letter of Acceptance and certified copy of City Resolution 91-7, delivered by City to Newspaper. Morgue was packed and loaded by moving company at Newspaper office, 301 South Myrtle Avenue, on March 12, 1991, and held by moving company overnight. Physical delivery of morgue to City took place on this date at Clearwater Main Library, 100 North Osceola Avenue. Moving company: Werner-Donaldson Moving Services, Inc.
