TERMS A D CON[H~~ONS
I
1. Sale
The Local Government Information Network Services ("Services") as
available and constituted during the term of, and in accordance with,
this Agreement, including specifically Article 7, Disclaimer of Warranty
and Limitation of Remedies, are sold to Customer.
2. LOGIN Services
The following is a description of the LOGIN Services:
a. Customer may access and search in an on-line interactive mode the.
computerized Local Government Information Network data base'
("Data Base") by telephone contact to the Control Data system.
Customer will provide its own terminal and be responsible for any
telephone charges to the Control Data access point.
b. The Services include the capability of corresponding with other
users of the Services and with Control Data staff through an
appropriate notesfile and with a Control Data supplied identifi-
cation code. Customer may enter public, private, Quest, and news
message categories. Customer will be included in a periodically
distributed listing of LOGIN customers and in the on-line directory

c. Customer may access the Services up to the maximum number of
hours specified in the selected package.
d. Customer will receive support services from the Control Data staff
via on-line mes$agingand a toll-free HOTLINE telephone number.
3. Term
This Agreement if accepted and executed by Control Data will become
effective 7 days after Control Data sends Customer its LOG I N Services
validation notice apd will remain in effect for an initial term of one year.
Upon the'e,.piration of the initial term or any renewal term, this
Agreement will renew automatically unless terminated by either party
upon at least 30 days. written notice prior to the expiration of the then
current term.

4. Payment' .'
Customer agrees to pay Control Data the total charges specified in this
Agreement, in addition to any applicable taxes which may be invoiced
to Customer. All initial charges shall be due and payable on the effective
date. Charges for renewal terms shall be invoiced as of the effective date
of the renewed term. Customer will not be entitled to a refund of
charges for unused hours available under the Services.
5. Responsibilities
a. Customer agrees that all searching and terminal access executed on
the Control Data System will be exclusively in connection with the
Services provided in this Agreement.
b. Customer agrees to use the information obtained through the
Services solely for its ownl'urpose and al!Plication. Customerwill
nof reproduce,copy:-duj)Ticatc-;-reformat, distrfbute,-seITorinany ----"
way commercially exploit such information. Customer may re-
produce a limited number of copies of information obtained from
the Services for its own internal use.
c. If claims of copyright infringement arise from Customer's unauthor-
ized use or duplication of copyrighted materials. Customer agrees to
defend and hold Control Data harmless against claims of copyright
infringement.
d. Customer is responsible for the confidentiality of its user name and
password, charge number. and personal messaging password(s).
Customer shall notify Control Data immediately if these access
codes have been lost or stolen. or if a person has unauthorized access
to Services. Until such notification, Customer is responsible for all
usage of Customer's Services aCC0unt and resulting charges, and for
any violations of this Agreement by anyone using the account.
6. Subscription Credit
a. Customer shall be eligible to participate in the LOG IN Subscription
Credit program ("Program") in force on the effective date of this
Agreement subject to the terms and limitations of the Program.
Control Data reserves the right to discontinue or change the Program
effective on each renewal date. Control Data will notify Customer of
changes at least 60 days prior to the applicable renewal date.

b. If the Customer elects to participate in the Program and submit
information for inclusion in the data base, Customer agrees to the
following:
\. Customer grants to Control Data a nonexclusive royalty-free
right and license for the information provided to use, perform,
display, reproduce, distribute, prepare derivative works based
thereon, and to grant sublicenses to others to do the same. The
right of distribution shall include the right to permit others to
receive copies of the information provided.
2. Customer shall be solely responsible for the accuracy and
completeness of the information units provided.
7. DISCLAIMER OF WARRANTY, REMEDIES AND
LIMITATION OF REMEDIES
a. The Services, including the data bases, will be made available on an
"AS IS" basis without warranty. Control Data makes no repre-
sentations or warranties as to the accuracy, content or availability of
the information contained on any data base or that the use of the
information obtained from any data base will not infringe any
patent, copyright, trademark or proprietary right of any third party.

WITHOUT LIMITATION ANY WARRANTIES OF MER-
CHANTABILITY OR FITNESS FOR A PARTICULAR
PURPOSE, ARE HEREBY DISCLAIMED AND EXCLUDED
BY CONTROL DATA. .
c. Control Data shall not be liable for the loss or destruction of
Customer's messages stored on a data base as part of the Services.
d. Customer's sole and exclusive remedies for Control Data's liability
of any kind (including liability for negligence, excepting liability for
personal injury) under or pursuant to this Agreement shall be
limited to a credit not to exceed the charges paid to Control Data for
the Services in question. If the Services become unavailable due to
causes within Control Data's reasonable control, the form of credit
referred to above will be, at Control Data's option. an extension of
the current term of Services for a period equivalent to the period of
unavailability. To be eligible for such extension, Customer must
notify Control Data as to the details of such unavailability within 7
days thereof so that an appropriate extension may be made.
e. Control Data shall not be liable for any loss or damage caused by
delay in furnishing the S.ervices orany other performance under or
pursuant to this Agreement.
f. IN NO EVENT SHALL CONTROL DATA'S LIABILITY OF
ANY KIND INCLUDE ANY SPECIAL, INCIDENTAL OR
CONSEQUENTIAL DAMAGES, EVEN IF CONTROL DATA
SHALL HAVE KNOWLEDGE OF THE POSSIBILITY OF
SUCH POTENTIAL LOSS OR DAMAGE.
8. General Provisions
a. Customer shall not have the right to assign or otherwise transfer its
_!ight~or _ obHg~ti.ons under thisAgr~emel1.tIJgU() resell OUilJ()'w
third parties to use the Services except with the prior written consent
of Control Data.
b. This Agreement shall be governed by the laws of the State of
~~MX Florida. '
c. THIS AGREEMENT SUPERSEDES ALL PROPOSALS, ORAL
OR WRITTEN, AND ALL NEGOTIATIONS, CONVERSA-
TIONS, OR DISCUSSIONS HERTOFORE HAD BETWEEN
THE PARTIES RELATED TO THIS AGREEME]'I;T. CUS-
TOMER ACKNOWLEDGES THAT IT HAS NOT BEEN
INDUCED TO ENTER INTO THIS AGREEMENT BY ANY
REPRESENTATIONS OR STATEMENTS, ORAL OR WRIT-
TEN. NOT EXPRESSLY CONTAINED HEREIN. THE TERMS
AND CONDITIONS OF THIS AGREEMENT SHALL PRE-
VAIL, NOTWITHSTANDING ANY VARIANCE WITH THE
TERMS AND CONDITIONS OF ANY ORDER OR OTHER
INSTRUMENT SUBMITTED BY CUSTOMER Ul\LESS
AGREED TO IN WRITING BY CONTROL DATA,
d. This Agreement shall not be deemed or construed to be modified,
amended, rescinded, cancelled, or waived, in whole or in part,
except by written amendment signed by the parties hereto.
e. No action, regardless of form, arising out of the transactions under
this Agreement may be brought by either party more than two (2)
years after the cause of action has accrued.
