THIS AGREEMENT made and entered into this

A,D, 1982, by and between the CITY OF CLEARWATER, FLORIDA, a municipal
corporation, hereinafter referred to as "City", and CLEARWATER SLOW PITCH
SOFTBALL ASSOCIATION, a Florida non-profit corporation whose address is P.O.
Box 5374, Clearwater, Florida 33518, hereinafter referred to as "Association";

WHEREAS, the City is a municipal corporation owning and operating
several Ballfields and Parks throughout the City of Clearwater; and
WHEREAS, the City sponsors a softball program within certain financial
and manpower constraints through its Parks and Recreation Department; and
WHEREAS, the Association is a non-profit corporation with duly
established bylaws, and represents all Clea.rwater adult softball interests; and
WHEREAS, the Association has financial resources and volunteer
manpower to offer additional opportunities for the development of softball; and
WHEREAS, the Association is desirious of assisting the City with the
City's softball program and has done so for many years;
NOW, THEREFORE, in consideration of the premises and of the faithful
performance by each of the parties of the covenants and agreements between the
parties hereto as follows:
1. The Association shall act as an advisory committee to the Parks and
Recreation Department on matters involving City sponsored adult softball, e.g.
league play, tournaments, rules, protests, and other items so deemed by the
City.
2. All softball activities will be categorized as one of the
following.
City Sponsored - Activities scheduled, conducted and financed entirely
by the City. Such activities will have first priority in scheduling facilties,
dates, and times.
Association Sponsored - Activities scheduled, conducted and financed
by the Association with approval and co-sponsorship from City. Such activities
will receive second priority in scheduling facilities, dates, and times.

Private/Association Sponsored - Activities conducted and financed by
private individuals or organizations which are co-sponsored by the Association
and approved by the City, Said activity will pay a fee to the Association as
hereinafter described and will receive third priority in scheduling fields,
dates, and times.
Private Sponsored - Activities sponsored entirely by a private
individual or organization with no assistance from Association or City. Said
activities will pay regular established City rental fee for use of facilities
and will have fourth priority in scheduling.
3. The Association, by February 1 of each year, will submit for
approval a schedule of requested dates, times, and locations for the playing of
all tournaments and activities, The Parks and Recreation Department will
receive and review the aforementioned schedule and confirm in writing to the
Association an approved schedule.
4. The Association shall have the right to charge and retain entry
fees and other appropriate fees in order to conduct tournaments and
activities.
5. The Association shall be financially responsible for balls,
umpires, sanction fees, and awards for all Association sponsored tournaments.
6. Any Private/Association tournaments which are approved by the
Association and the Parks and Recreation Department will be placed on the
tournament schedule. An Association representative will be present at all
private tournaments, a tournament fee of $10 per team will be paid to the
Association, and the Private/Association sponsor will pay hourly costs of
utilities and personnel to City.
7, The Association will act as an advisory committee to the City's
Parks and Recreation Department on all requests for tournaments whether private
or public.
8. The Parks and Recreation Department shall be responsible for
maintaining all fields and grounds. However, the Association shall assist in
the maintenance of facilities and fields during all Association sponsored
activities.
.9; The Association shall have the right to sell concession goods from
portable concession stands during all City or Association sponsored softball
activities with the exception of those played at Jack Russell Stadium, Sid
Lickton Field, or Carpenter Field, However, during National or Regional
Softball Tournaments, or during other recreation programs conducted at City
Parks, the Association must have prior written consent and approval of the
City.

10. The Association shall at its expense be responsible for furnishing
all equipment, fixtures and related items used and required in the operation of
said concession stands by it and its representatives and agents. The
Association shall also at its expense be responsible for the maintenance and
upkeep of said concession stands and shall cooperate with City groundskeepers
in keeping the grounds in a clean and orderly manner and free from any debris,
papers, and other material from any of the items sold or dispensed from said
concession stand.
11. The Association agrees that under no circumstances will alcoholic
beverages be sold or offered for sale in the operation of said concession
stands.
12. It is mutually agreed that said provisions and the right to
operate the concession stands shall not be assigned or transferred by the
Association to anyone without the prior written consent and approval of the
Parks and Recreation Department.
13. This Agreement shall continue in force and effect for a period of
two (2) years from the date hereof unless sooner terminated as hereinafter
provided. This agreement may be extended for a further term upon the mutual
consent and agreement in writing of the parties hereto. Either party, the
Association or the City, may at any time during the term of this Agreement
terminate the same by furnishing sixty (60) days written notice of the
termination thereof to the other. If either party furnishes notice of
termination, the Association shall have sixty (60) days from the date of said
written notice at its expense to remove its equipment from City-owned premises,
otherwise said equipment shall become the property of the City. If any damage
is done to the City premises in the removal of said equipment, the Association
shall at its expense immediately repair said damages.
14. The Association will be responsible for obtaining at its expense
all licenses required and furnishing all personnel required and the collection
and payment of any taxes required in the operation of said concession stand.
15. The City shall have the right through its agents to make
reasonable inspections of said facility and the operation thereof to see that
it is being conducted in a proper manner for the protection of the City under
the terms of this agreement,
16. All monies collected by the Association will be directed by the
Association into City softball related programs, equipment, or faciltiies that
mutually benefit the Association and the City. Primary concern shall be for
the purchase of those capital items that will benefit softball.

17. The Association shall keep accurate

records
of all revenues and
expenditures, and shall submit an accounting thereby to the Parks and
. Recreation Department within 30 days after the end of the calendar year. The
Association shall keep its records available and open to inspection by the City
at all reasonable times.
18. The Parks and Recreation Department reserves the right to conduct
all softball leagues and it is agreed by both parties that the Association will
not be allowed to conduct leagues without prior permission from the Deparment
Director.
19. The Parks and Recreation Department shall have the right to make
rules and regulations for the use of all City facilities and shall expect the
Association to abide by said rules and regulations and to acquaint all of its
members with said rules. The Parks and Recreation Department shall have the
right to expel from any City-owned facility any Association member or
participant who violates such rules and regulations and the Association shall
be expected to help in such enforcement.
20. The Association shall hold the City harmless from any liability
arising out of negligence on the part of the Association in connection with its
activities. And, in addition, the Association agrees to provide a copy of
liability insurance coverage in the amounts of $500,000 combined single limit
Bodily Injury and Property Damage per occurrence and name the City as
additionally insured.
21. The Association agrees that at least one "City" softball official
will be present at all Association sponsored events in order to open and close
facilities.

As requested, attached is a copy of the Certificate of Insurance
pertaining to the Agreement between the Clearwater Slow Pitch
Softball Association and the City of Clearwater. The Softball
Association intended to begin work on 1he Concession Stand a
couple of weeks ago. However, they have evidently run into
problems in securing materials and have canceled the attached
insurance policy. They will renew the policy at such time as
they begin construction.
