THIS AGREEMENT is made on the ,;
day of August, 1983,
between the City of Clearwater (City) and the Downtown Development Board
(Board).
WHEREAS, the citizens of Clearwater, the City and the Board have
each expressed a desire for a bandshell to be constructed at Coachman Park;
and
WHEREAS, the construction of the bandshell will be a benefit tci the
City, to the citizens, and to the Downtown Merchants, in consideration of the
cov:enants and premises contained herein, it is hereby agreed:
1. The C Lty promise s to proceed with construction pursuant to the
contract for construction based upon the bids, which were received by the
City on August 2, 1983.
2. The Board agrees to convey to the City all donations heretofore
and hereafter received for construction of the band she 11.
3. The Board agrees to continue actively soliciting donations
specifically to fund the entire project.
4. The Board agrees to pay to the City the entire sum which the
City will have expended for the construction of the bandshell, including
architectul!a.Lfees, construction costs, and all other expenditures made in
connection with this project. It is the hope of the parties that the project will
be funded entirely by charitable contributions; however, in the event that
cha ritable contributions are not sufficient to cover the entire construction cost
as set out herein the Board hereby agrees to pay to the City such sums as
necessary to make up any shortfalls in charitable donations.
The Board further agree s to transmit to the City each and every
charitable contribution promptly upon its receipt, and further to pay any and
all sums owing under the Agreement on or before September 3D, 1984.
