D. 1979, by and between the CITY OF CLEARWATEE, FLOEIDA, a municipal corporation, and the CLEARWATEE DOWNTOWN DEVELOPMENT BOAED; WITNESSETH WHEEEAS, the City of Clean""- ter and the Downtown Development Board previously entered into a Memorand= of Understanding dated November 1, 1976, relating to non-meter parking at lots located and known as the Garden Avenue lot and part of the Kravas lot; and WHEEEAS, by previous amendlnent to the Memorandum of Under- standing a farmer's market was conducted on Parking Lot #9 owned by the City of Clearwater; and WHEEEAS, in order to avoid confusion a separate agreement should be provided in order to conduct the farmer's market for a new period of time; NOW, THEREFOEE, in consideration of the mutual promises and understandings contained herein, it is agreed by the parties as follows: 1. The Downtown Development Board shall be permitted to conduct a farmer's market on Parking Lot #9 owned by the City of Clearwater, Such market shall be conducted on Saturday mornings and items sold at the market shall be limited to items grown or hand made by each vendor. 2. The term of this agreement shall be from November 17, 1979, to May 31, 1980. 3. Prior to commencing the farmer's market program, the City of Clearwater and the Clearwater Downtown Development Board shall establish a set of rules to govern all activity conducted at the market and such rules shall be posted in a prominent place at the market and each participant shall be provided a copy of such rules. As a part of this agreement, the City of Clearwater with respect to the parking lot involved shall receive the same revenue provided for in the Memorandum of Understanding dated November 1, 1976, and the Addendum to Memorandum of Understanding dated November 9, 1977. 5. The City of Clearwater as a part of its agreement to hold the Downtown Development Board harmless against any and all claims associated with using the lot to conduct non-metered parking agrees to extend such hold harmless obligation to the farmer's market being conducted on Parking Lot #9. 6. The farmer's market program provided for herein may be terminated by either party upon providing thirty (30) days written notice at any tinle prior to the expiration of the term provided for herein. 7. This agreement shall be considered supplemental to the Memorandum of Understanding dated November 1, 1976, and amendments thereto.
