JOINT PUBLICIPRIVATE PROJECT AGREEMENT
TIDS JOINT PUBLICIPRIVATE PROJECT AGREEMENT ("Agreement") IS
entered into on this 31 S +--day of August, 1998, between Clearwater Bay Marina, Inc.
("CBM"), a Florida corporation, and the City of Clearwater, Florida (the "City"), a municipal
corporation.
WITNESSEm:
WHEREAS, CBM, is the owner of certain real property and submerged lands described
in Exhibit "A" within the city limits of the city of Clearwater;
WHEREAS, CBM operates a marina on and above the lands described in Exhibit "A";
WHEREAS, the City and CBM are desirous of entering into this Agreement for the
purpose of improving the water quality in and around Clearwater Bay;
WHEREAS, CBM and the City also desire to resolve certain pending litigation styled
Clearwater Bav Marina. Inc. v. City of Clearwater. Case No. 95-6402-CI-Oll, pending in the
Circuit Court for Pinellas County, as set forth in this Agreement.
NOW THEREFORE, for good and valuable consideration, the sufficiency of which is
hereby acknowledged, CBM and the City hereby agree as follows:
1. Recitals. The foregoing recitals are true and correct.
2. Purpose of Agreement Generallv. CBM and the City desire to arrange for the
dredging of CBM's marina yacht basin and the installation of certain devices to improve the
water quality of CBM's yacht basin and Clearwater Bay. CBM and the City have agreed to (a)
the manner in which the dredging will be accomplished; (b) certain devices to be installed; (c)
the parties responsible for the work; and (d) the parties responsible for payment of costs
associated with the dredging activities, the removal of the dredged material, and the remedial
measures.

3. Dredge Acauisition and Costs. CBM shall acquire a dredge which is acceptable
to it, to dredge the marina yacht basin at CBM's cost. CBM shall be responsible for the
maintenance of the dredge, the operation of the dredge, and all costs associated with the
maintenance and operation of the dredge.
4. Preparation of Site for Deoosit of Dredge Material. The City owns certain real
property located near the property owned by CBM as described in Exhibit "A". The real
property owned by the City is located at the intersection of Seminole Street and Osceola A venue
and is legally described on the attached Exhibit "B" (the "City's Property"). The city agrees to
allow CBM to pump the material dredged from the submerged lands beneath its yacht basin to
the City's Property as described on Exhibit "B". Before the commencement of dredging, CBM
shall berm and grade the City's Property to prevent the runoff of dredged material from the
City's Property to the streets, alleys, and real property adjacent to the City's Property. CBM
shall perform or have performed the berming and grading of the City's Property pursuant to
engineering specifications provided by CBM to prevent such runoff, and CBM shall bear all
expenses associated with the berming and grading. Preliminary drawings of said specifications
are attached hereto as Exhibit "C". CBM shall commence the berming and grading of the City's
Property within thirty (30) days after the approval of this Agreement by the Clearwater City
Commission and CBM's supplying to the City the permits necessary for it to dredge its yacht
basin. CBM shaH proceed continuously and diligently with the berming and grading of the
City's Property until that work is completed.
CBM, at its expense, shall supply to the City specifications and/or drawings for fencing
with appropriate gates to be erected around the perimeter of the City's Property. After the
completion of the berming and grading work by CBM, the City shall erect or shall cause to be
erected around the perimeter of the City's Property fencing with gates pursuant to the
specifications or drawings provided by CBM's engineering firm. The City shall bear all

expenses with respect to the acquisition of materials for and the erection of the perimeter fencing
with appropriate gates. CBM shall supply written notification to the City upon its completion of
the grading and berming work, and the City shall have thirty (30) days from the date of the
written notification in which to commence and continuously proceed with the erection of the
fencing and gates.
5. Permits of CBM. Before the commencement of the dredging of any material
from the submerged lands beneath CBM's yacht basin, CBM shall obtain all necessary permits
from the Army Corps of Engineers, the Florida Department of Environmental Protection,
Pinellas County, and any other regulatory authorities. CBM shall bear all expenses; including
attorney's fees, associated with obtaining and maintaining all necessary permits. CBM shall also
be responsible for maintaining all necessary permits through the completion of the dredging
activity. The City shall cooperate with CBM in obtaining and maintaining the necessary permits.
Upon CBM's obtaining all necessary permits, CBM shall provide copies of the permits to the
City.
6. Dewatering of Dredged Material. CBM shall either (a) prepare the City's
Property for the dewatering of the dredged material through the installation of appropriate
drainage devices or (b) acquire and place on the City's Property dewatering containers
acceptable to both CBM and the City for the dewatering of the dredged material. CBM shall
bear all expenses associated with the installation and maintenance of the drainage devices on the
City's Property and/or the acquisition, maintenance and liability for any failure of the dewatering
containers if CBM elects to use dewatering containers as opposed to installing drainage devices
on the City's Property. CBM's maintenance of the drainage devices shall include the operation
of equipment necessary to move the dredged material onto and from the drainage devices,
inspection and replacement of filtration media, the provision of washdown water, and any
required environmental monitoring.

For CBM's engineering firm to prepare appropriate specifications and drawings for the
installation of drainage devices on the City's Property, it is necessary for the City to obtain
and/or provide certain data pertaining to the City's Property. At the City's expense, the City
shall obtain and provide to CBM's engineering firm the following data concerning the City's
Property:
(a) The metes and bounds legal description of the City's Property;
(b) Detailed information concerning all underground pipes, electrical wires, and
other utilities in, under, or adjacent to the City's Property;
(c) A boundary and topographic survey of the City's Property; and
(d) Geotechnical data concerning the City's Property, including soil borings and
percolation tests.
Upon receipt of the above-listed data concerning the City's Property, CBM's
engineering firm, at CBM's expense shall prepare and provide to the City final specifications and
drawings for the installation of drainage devices on the City's Property.
Throughout the course of the dredging of material from CBM's yacht basin and the
dewatering of dredged material on the City's Property, CBM and CBM's engineering firm shall
have the authority to direct the work on the City's Property with respect to the deposit of the
dredged material onto the City's Property and the movement of the dredged material on and
around the City's Property. CBM shall bear all expenses associated with the deposit of the
dredged material onto the City's Property and the movement of the dredged material on or
around the City's Property. When CBM or CBM's engineering firm believes that the dredged
material has become sufficiently dewatered to be loaded onto trucks for removal from the City's
Property, CBM shall cause the dewatered, dredged material to be deposited onto a specific,
designated location on the City's Property (the "Removal Site") for the City to have the
dewatered, dredged material removed from the City's Property. CBM or CBM's engineering

firm shall stake and tape or otherwise identify the drainage area for the dewatering of dredged
material. The City shall instruct its employees or independent contractors operating loading
equipment and trucks on or about the City's Property to keep loading equipment and trucks off
the drainage devices and drainage area on the City's Property so as to avoid damage to the
drainage devices.
7. Transport of Dredged Material to Dewatering Site. CBM shall lay or have laid
piping from its dredge to the City's Property for the depositing of material dredged from the
submerged lands beneath CBM's yacht basin onto the City's Property for dewatering or into
CBM's dewatering containers. CBM shall bear all expenses associated with the laying of the
piping and the maintenance of the piping.
8. Acceptability of Dredged Material and Removal bv the City. The City has had
an opportunity to review core boring test data and other laboratory test data concerning the
material to be dredged from the submerged lands beneath CBM's yacht basin and has determined
that the material to be dredged from the submerged lands beneath CBM's yacht basin is suitable
for use by the City as fill material as the City deems appropriate for public purposes.
The City shall load onto trucks and remove the dredged material from the Removal Site
once the dredged material deposited onto the Removal Site is dewatered adequately to allow for
truck transport by the City. The parties to this Agreement agree that the City may use its own
trucks and other equipment for the loading and removal of the dewatered, dredged material from
the Removal Site. The City covenants that it will timely remove the dewatered, dredged material
from the Removal Site. The City shall bear all expenses associated with the loading, removal
and disposal of the dewatered, dredged material, including, but not limited to, the operation of
equipment, including trucks and loading equipment, for the loading and removal of the dredged
material from the Removal Site and the disposal or use of the dewatered, dredged material.

If a dispute arises between CBM and the City as to whether dredged material deposited
on the Removal Site is sufficiently dewatered to be removed from the Removal Site, such
dispute shall be resolved by testing the dredged material for percent solids. Dredged material
with a percent solids content of fifty percent (50%) or greater shall be deemed suitable for truck
transport by the City. Said testing of the dredged material shall be performed by a qualified
geotechnical testing firm acceptable to the City and CBM.
The City's failure to remove dewatered, dredged material on the Removal Site in a
timely manner, not to exceed forty (40) days, after the City's receipt of notification from a
qualified geotechnical firm that the dredged material is adequately dewatered for truck transport
by the City shall be a material breach of this Agreement. In such event, CBM may declare the
City to be in breach of this Agreement and CBM may pursue all rights and remedies available to
it, or CBM may remove the dewatered, dredged material from the Removal Site, and sell,
landfill, or otherwise lawfully dispose of the dewatered, dredged material. CBM's removal and
disposal of dewatered, dredged material from the Removal Site shall not be a waiver by CBM or
any material breach of this Agreement by the City or CBM's ability to pursue all rights and
remedies available to it for CBM's removal and disposal costs and expenses, and the City shall
continue to have all of its obligations under this Agreement.
Title to the dewatered, dredged material shall pass from CBM to the City when the
dewatered, dredged material is loaded onto the City's trucks for transport by the City.
9. Quantity of Dredged Material and Duration of Dredging. CBM and the City
anticipate that approximately forty thousand (40,000) cubic yards of material shall be dredged
from the submerged lands beneath CBM's yacht basin and deposited onto the City's Property or
into CBM's dewatering containers. The City and CBM acknowledge and agree that the forty
thousand (40,000) cubic yards of material to be dredged from CBM's yacht basin is the parties'
best estimate of the amount of material to be dredged. It shall not be a breach of this Agreement

or otherwise alter either parties' rights or obligations under this Agreement if the actual amount
of material ultimately dredged from CBM's yacht basin is twenty percent (20%) more than the
forty thousand (40,000) cubic yards estimated. It is estimated that the final dewatered, dredged
material volume will be approximately twenty thousand (20,000) cubic yards following
compaction. Any deviation from this compacted material estimate shall not be a breach of this
Agreement or otherwise alter either parties' rights or obligations under this Agreement.
CBM and the City anticipate that the dredging of the approximately forty thousand
(40,000) cubic yards of material from the submerged lands beneath CBM's yacht basin and the
removal of that dewatered, dredged material from the City's Property or CBM's dewatering
containers will take approximately twelve (12) months from the commencement of the actual
dredging of the materials through the removal of the last dewatered, dredged material. The
twelve (12) month time period for dredging and removal of the dewatered, dredged material is an
estimate. Should the dredging and removal of the material take longer than twelve (12) months,
an extended time period for dredging and removing the material up to a total of twenty-four (24)
months from the commencement of dredging shall not be a breach of this Agreement or
otherwise alter the parties' rights and obligations under this Agreement. However, the time
period for dredging and removal of the dredged material shall not exceed twenty-four (24)
months. This time period shall commence on the first day of dredging from CBM's yacht basin.
10. Restoration of City's ProDertv. After completion of the dredging activities and
removal of all dewatered, dredged material from the City's Property as contemplated by this
Agreement, the City shall perform, at its expense, all work necessary to restore the City's
Property. The City's restoration work shall include the preparation of any restoration and
grading plans for the City's Property, the removal and disposal of the drainage devices installed
by CBM on the City's Property, the removal and disposal or use of the fencing and gates erected

around the perimeter of the City's Property, and the final grading and landscaping of the City's
Property.
11. Remedial Measures of the Ci . The three stormwater drainage pipes operated
and maintained by the City that empty into CBM's yacht basin are identified on the drawing
attached as Exhibit "D". Within thirty (30) days after the approval of this Agreement by the
Clearwater City Commission and CBM's supplying to the City of the necessary permits for
dredging its yacht basin, the City shall begin the process of obtaining all necessary permits to
commence the remedial work associated with the stormwater drainage pipes described in this
paragraph. The City shall diligently pursue the obtainment of all necessary permits for the
remedial work described in this paragraph.
Within sixty (60) days of the City's obtainment of the necessary permits to perform
remedial work with respect to the stormwater drainage pipes identified on Exhibit "D", the City
shall commence the following remedial work:
(a) The City shall install sediment/grease traps in locations mutually acceptable to
CBM and the City upstream from the discharge openings of the stormwater drainage pipes. The
sediment/grease traps (e.g., Stormceptor) shall be designed to trap and remove from the
stormwater flowing through the two stormwater pipes floatable debris, suspended solids, oils and
greases, and other material flowing through the stormwater drainage pipes that would otherwise
be deposited into CBM's yacht basin and cause siltation and/or water quality problems;
(b) The City shall retrofit the discharge openings of the two twelve-inch stormwater
drainage pipes identified in Exhibit "D" so that the discharge openings are covered or baffled so
that water is discharged downward rather than allowed to flow uninhibited from the pipes; and
(c) The City shall periodically remove from the sediment/grease traps the silt,
debris, oil and grease, and other material deposited into the sediment/grease traps. The
frequency of the removal of the silt, debris, oil and grease, and other material deposited into the

sediment/grease traps will be such that the removal of the silt, debris, oil and grease, or other
material from the sediment/grease traps shall be in compliance with the manufacturer's or
designer's recommended maintenance schedule, and shall be frequent enough to prevent silt,
debris, oils and greases, and other material from being deposited into CBM's yacht basin from
the City's two stormwater drainage pipes.
The City shall bear all expenses associated with performing all of the above-described
remedial measures and all ongoing expenses associated with the removal of silt, debris, oils and
greases, and other material from the sediment/grease traps. If the installation of the
sediment/grease traps, the periodic monitoring of the sediment/grease traps, and the removal of
silt, debris, oils and greases, or other material from the sediment/grease traps by the City does
not prevent the depositing of silt, debris, oils and greases, or other materials into CBM's yacht
basin from the City's two stormwater drainage pipes, CBM shall be entitled to pursue all rights
and remedies available to it.
12. Indemnificat?. To the extent permitted by law each party to this agreement
agrees to indemnify and hold harmless the other party against any loss, claim, action, or suit
predicated upon the alleged negligent act or omission of the indemnifying party and brought
against such other party by any person, person, corporation, partnership, or other entity, and
including reasonable attorney fees and costs incurred; provided, however, that it is not the intent
of the parties for the City to indemnify CBM for the negligent acts or omissions of CBM, its
agents, employees, or subcontractors, nor for CBM to indemnify the City for the negligent acts
or omission of the City, its agents, employees, or subcontractors.
13. Status of the Liti ation. Within fifteen (15) days of the complete execution of
this Agreement, counsel for the City and CBM shall execute and file with the Court a stipulation
providing that the Litigation shall not be subject to dismissal for lack of prosecution while the
City and CBM are awaiting approval of this Agreement by the Clearwater City Commission and

CBM's obtainment of the necessary permits for the dredging of its marina yacht basin. The
Court shall enter an order approving and confirming the terms of the stipulation.
14, Dismissal With Preiudiq. Within fifteen (15) days after the approval of this
Agreement by the Clearwater City Commission and CBM's obtainment of all the necessary
permits to dredge its yacht basin, whichever is the last to occur, CBM and the City shall execute
and file with the Court a stipulation for dismissal with prejudice of the Litigation. The
stipulation shall provide for the City and CBM to bear their own attorney's fees and costs with
respect to the Litigation. The execution and filing of the stipulation for dismissal with prejudice
and any order entered by the Court on the stipulation for dismissal with prejudice shall not affect
the rights or obligations of the City or CBM under this Agreement and shall not affect the ability
of the City or CBM to file a legal action with respect to this Agreement.
15. Easement To Be Granted. Within fifteen (15) days after the approval of this
Agreement by the Clearwater City Commission and CBM's obtainment of all the necessary
permits to dredge its yacht basin, whichever is the last to occur, CBM shall execute and deliver
to the City an easement for the repair and maintenance of the northern twelve (12) inch storm
sewer drainage pipe as described in paragraph thirty (30) of the complaint.
16. Notice. All notices or other communications provided for herein to be given or
sent to a party by the other party shall be deemed valid if. (i) personally delivered; (ii) deposited
for delivery by Federal Express or other nationally recognized overnight courier services; or (iii)
sent by registered or certified mail, return receipt requested, first class postage prepaid,
addressed to the party entitled to receive such notice, at the address specified below:

17. Captions. The captions of this Agreement have been assigned thereto for
convenience only and shall not be construed to limit, define, or modify the substantive terms
hereof.
18 Construction. This Agreement shall not be construed more strongly against any
party regardless of who was responsible for its preparation.
19. Assignabilill. This Agreement shall not be assignable by either party without
the prior written consent of the other party.
20. Governing _Law. It is the intention of the parties that the laws of the state of
Florida govern the validity of this Agreement, the construction of its terms, and the interpretation
of the rights and duties of the parties.
21. SeverabilitY. Each provision of this Agreement is intended to be severable from
every other provision, and the invalidity or illegality of any portion hereof shall not affect the
validity or legality of the remainder hereof.

22. Time of Essence. Time is and shall be of the essence in the performance of all
obligations under this Agreement.
23. Waiver. The failure of a party to enforce any term, provision, or condition of
this Agreement at any time or times shall not be deemed a waiver of that term, provision, or
condition for the future, nor shall any specific waiver of a term, provision, or condition at one
time be deemed a waiver of such term, provision, or condition for any future time or times.
24. Legal Ation. In the event it is necessary for any party to retain the services of
an attorney to initiate legal proceedings to enforce the terms of this Agreement or to seek an
interpretation of this Agreement, the prevailing party in any such legal proceedings shall be
entitled to recover from the non-prevailing party all costs associated with such legal proceedings,
including reasonable attorney's fees and court costs, for all trial and appellate proceedings.
Venue for any legal proceeding between the parties to this Agreement shall be Pinellas County,
Florida.
25. No Third P R.i ts. The provisions of this Agreement are for the exclusive
benefit of CBM and the City, and no other party shall have any right or claim against CBM or
the city by reason of this Agreement or the provisions herein.
26. Modification. Neither this Agreement nor any provisions hereof shall be
waived, modified, discharged, or terminated except by an instrument in writing signed by the
party against whom any such waiver, modification, discharge, or termination is sought.
27. Admissions. Nothing herein shall be deemed to constitute an admission by
either CBM or the City.
28. Approval b Clearwater Ci Commission. CBM and the City acknowledge that
this Agreement shall not be binding upon them unless or until it is approved by the Clearwater
City Commission at a regularly scheduled meeting of the Clearwater City Commission. If this
Agreement is not approved by the Clearwater City Commission at a regularly scheduled meeting

on or before August 31, 1998, this Agreement shall be null and void. This Agreement shall also
be null and void if CBM is not able to obtain on or before February 28, 1999, the necessary
permits to dredge its marina yacht basin.
29. Entire Agreement. This Agreement, including the exhibits hereto, sets forth the
entire agreement and understanding of the parties hereto with respect to the subject matter of the
Agreement. This Agreement supersedes all prior agreements, promises, arrangements,
communications, or representations, whether oral or written, by any representative of any party
to this Agreement.
