INDEMNIFICATION AGREEMENT
WHEREAS, the Church of Scientology Flag Service Organization, Inc. ("Church") has
requested the Parks & Recreation Department of the City of Clearwater ("City") to allow the
installation of Litton Security Systems low voltage motion detectors on that fence owned by the
City and located to the North of Hacienda Gardens between Saturn Avenue and Keene Road
as described in Exhibit A; and
WHEREAS, the City agrees to allow for the installation of said motion detectors on the
fence described in Exhibit A so long as all wiring is run in conduit and is installed by a licensed
electrician with any required permits;
NOW, THEREFORE, the Church agrees to indemnify and hold harmless the City and all
of its officers or employees from any and all claims, damages, lawsuits and actions at law or in
equity of any character brought by any person or on account of any injuries or damages
sustained by any persons or property by or as a consequence of the installation of said motion
detectors located on the City fence.
The Church further agrees to be solely responsible for any damage to the City property
and hereby releases the City and all of its officers and employees from any and all claims,
damages, lawsuits and actions at law or in equity that it may have against the City or any of its
offices of employees as a result of the use of the City property.
The Church further agrees to remove all motion detectors and equipment from City
property at any time upon written notice from City. City shall have no obligation and the Church
shall have no right to use any property of the City for any other purpose without the express
written consent of City.
The Church further agrees to procure and maintain, during all the time the said motion
detectors are located on the City's fence, general liability insurance in the minimum amount of
Two Hundred Thousand Dollars ($200,OOO) to protect both Church and City from any and all
claims for personal injuries to which the Church has agreed herein to indemnify and hold
harmless the City, and its officers and employees. City, at its request, may be named as an
additional insured on said policy of insurance at no cost to the City.
