CONSULTING SERVICES AGREEMENT
This AGREEMENT made this 26th day of January, 1998 by and between the City of
Clearwater, Florida (City), P. O. Box 4748, Clearwater Florida 34618, and Carr Smith Corradino
(Consultant), a Florida corporation.
WHEREAS, City desires to have Consultant provide consulting services for the North and South
Greenwood neighborhoods; and
. WHEREAS, Consultant agrees to provide the consulting services described in Exhibit A, under
the terms and conditions of this Agreement;
NOW TIIEREFORE, the City and Consultant do hereby incorporate all terms and conditions in
Exhibit "A" and mutually agree as follows:
1. SCOPE OF PROJECT. Consultant agrees to provide Consultant administration
services under the terms and conditions described in Exhibit" A".
2. TIME OF PERFORMANCE. Consultant agrees to provide the services described in
Exhibit "A" by August 31, 1998.
3. REPORTS. Consultant agrees to provide to City reports on the Project upon request by
the City. All reports shall comply with City's recycled and recyclable products code requirements,
Clearwater Code Section 2.601.
4. COMPENSATION. The City will pay Consultant a sum not to exceed $23,000,
inclusive of all reasonable and necessary direct expenses. The City may, from time to time, require
changes in the scope of the project of the Consultant to be performed hereunder. Such changes,
including any increase or decrease in the amount of Consultant's compensation and changes in the terms
of this Agreement which are mutually agreed upon by and between City and Consultant shall be effective
when incorporated in written amendment to this Agreement.
5. METHOD OF PAYMENT. Consultant shall bill City, and City agrees to pay after
approval of the City Project Manager under the terms ofthe Florida Prompt Payment Act F.S. 218.70.
6. CONTACTS FOR RESPONSmILITY. Joe Corradino will be designated as Project
Director for this project by Consultant to manage and supervise the performance of this Agreement on
behalf of Consultant. Associated with the Project Director will be staff members whose experience and
qualifications are appropriate for this Project. The City will be represented by Alan J. Ferri, or his
designee for all matters relating to this Agreement.
7. TERMINATION OF CONTRACT. The City at its sole discretion may terminate this
contract by. giving Consultant ten (l0) days written notice of its election to do so and by specifying the
effective date of such termination. The Consultant shall be paid for its services through the effective
date of such termination. Further, if Consultant shall fail to fulfill any of its obligations hereunder, this
contract shall be in default, the City may terminate the contract, and Consultant shall be paid only for
work completed.
8. NON-DISCRIMINATION. There shall be no discrimination against any employee
who is employed in the work covered by Agreement, or against applicants for such employment, because
of race, religion, color, sex, or national origin. This provision shall include, but not be limited to the
following: employment, upgrading, demotion, or transfer, recruitment or recruitment advertising; layoff
or termination; rate of payor other forms of compensation; and selection for training, including
apprenticeship.
9. INTERESTS OF PARTIES. Consultant covenants that its officers, empl()yees and
shareholders have no interest and shall not acquire any interest, direct or indirect, which would conflict
in any manner or degree with the performance of services required to be performed under this
Agreement.
10. INDEMNIFICATION AND INSURANCE. Consultant agrees to protect, defend,
indemnify and hold the City and its officers, employees and agents free and harmless from and against
any and all losses, penalties, damages, settlements, costs, charges, professional fees or other expenses or
liabilities of every kind arid character arising out of or due to any negligent act or omission of Consultant
or its employees in connection with or arising directly or indirectly out of this Agreement and/or the
performance hereof. Without limiting its liability under this Agreement, Consultant shall procure and
maintain during the life of this Agreement liability insurance coverage. This provision shall survive the
termination of this Agreement.
11. PROPRIETARY MATERIALS. Upon termination of this Agreement, Consultant
shall transfer, assign and make available to City or its representatives all property and materials in
Consultant's possession belonging to or paid by the City.
12. ATTORNEYS FEES. In the event that either party seeks to enforce this Agreement
through attorneys at law, then the parties agree that each party shall bear its own attorney fees and costs,
and that jurisdiction for such an action shall be in a court of competent jurisdiction in Pine lias County,
Florida.
IN WIlNESS WHEREOF, the City and Consultant, have executed this Agreement on the date
first above written.

Scope of Services
In recent months the City of Clearwater has formulated a strategic vision designed to
unite the entire City behind a strategy that will carry out a broad and ambitious vision.
This process has focused on providing entertainment and cultural resources as a way of
expanding the City's tax base and vitalizing its individual communities. The goal is to
take advantage of Clearwater's many resources. Dealing with the City as a whole by
treating several important components that uniquely contribute to its health. These
include infrastructure, corridor enhancements, and districts.
The North and South Greenwood neighborhoods together are one of Clearwater's three
main districts. The others include Downtown and Clearwater Beach. It is clear that the
continued success of the City of Clearwater is dependent on the success of each district
individually. The success of the individual districts is therefore dependent on one
another. If one district fails the effects will be felt by the other districts as well as the
entire city. For this reason each plan, specifically the North and South Greenwood Plan,
must be performed in close coordination with the efforts taking place in all other districts
and components of the City's Strategic Vision.
Over the post year the City has worked closely with North and South Greenwood
community leaders to develop and action plan that will implement projects ranging from
entryway street scaping to job development. There are several initiatives that have been
brought to the table during this time period. The Neighborhoods are very diverse, often
exhibiting high poverty, high minority area that has many areas of slum and blight. Areas
have been recognized as areas of distress and qualified as part of the Department of
Justice 'Weed and Seed' program, as well as both a State of Florida, and US
Environmental Protection Agency Brownfield Area. Other programs will prove useful in
providing funding for redevelopment. These include, for example, the Penny for Pinellas
program.
The focus of red'evelopment in coordination with the strategic vision will center on
several potential opportunities. These include possible changes to zoning and
development regulations; physical and aesthetic improvements to the commercial district;
and the definition of a series of alternative growth strategies focused on job creation and
the activation of a village square. One of the many potential efforts is the possible
relocation of Jack Russell Stadium as an opportunity to create a village square, or some
other creative neighborhood related use of the stadium site, such as a recreation center, an
expanded branch library, or city offices. Other possibilities lead to tying the community
to the efforts and abilities of Morton Plan Hospital. Of primary importance is input from
the community, focusing on quality development capable of replacing obsolete amenities
while enhancing community character.
SCOPE OF SERVICES
TASK I DATA COLLECTION / REVIEW
This task will entail an intensive collection and review of pertinent information, studies
and reports produced by the City and its consultants concerning the Greenwood area
over the last 30 years. This will serve to give a strong background on the history of the
Neighborhood and how it arrived at its position today.

TASK 2 PUBLIC PARTICIPATION
At this time conversations will be held with members of the public and private sectors.
Meetings will be setup on an individual basis with members of the City Council, and City Staff,
as the City's Project Manager deems necessary. Private sector leaders will be met in a similar
fashion. It is hoped that the City will provide a list of 1 0 to 20 private sector leaders. It is of
equal importance to meet with the citizens. Upon the completion of the first two tasks a public
meeting will be held. This will be open to the public and will provide the opportunity for the
residents of the area, as well I as other concerned citizens of Clearwater to provide input on the
Conceptual Design.

TASK 3 CONCEPTUAL DESIGN
Through the accomplishment of the previous tasks the formulation of the Conceptual Design
will take place. This will entail the.examination of development and activation possibilities in
specific areas throughout the Neighborhood. It is expected that several areas of opportunities
will be suggested. These areas will focus on:
Changes to zoning and development regulations
Physical and aesthetic improvements to the commercial district
A series of alternative growth strategies focusing on a village square concept
Library
City offices
Police substation
potential locations for development

TASK 4 PROMOTIONAL MATERIALS
This task will entail the preparation of materials used to assist the City in presenting the plan to the
public. Information will be presented in textural and graphic form, as well as with a computer-generated
presentation of the final report.

FINAL REPORT
Compilation of each of the previous tasks will be provided in a final report to be presented to the
community. Carr Smith Corradino will produce up to 50 copies of the final report. Additional copies
will be provided at cost.
